Job Description - An opportunity to work as the Company Secretary and Compliance officer of an Insurance Company of a leading Indian Conglomerate.

Client Details

A renowned Indian Conglomerate diversifying in the Insurance business.

Description

- Providing insight, analysis, and recommendation to the management team related to all secretarial and compliance developments.

- Execute all corporate secretarial compliances and adhere to the compliances as required under IRDA.

- Responsible for Board Meetings & Committee Meetings (Audit Committee, AGM, EGM, Committee of Directors, etc.) across entities as company secretary & compliance officer.

- Ensure the right set of information is available to the board of directors to enable decision making.

- Adhoc analysis on Finance/Business/Legal aspects and proactively include this as part of board discussion.

- Preparation of Quarterly / Periodic Board Decks/presentation material including Financial Analytics and key parameters for discussion at the Company's Board Meetings.

- Preparation of Annual Report including Director's Report and Corporate Governance Report of the Company.

- Drafting, vetting of Contracts / POAs / MOUs/ Agreements / NDA / Agreements, notices etc.

- Review, opine and suggest on legal and liability related aspects to various teams.

- Review and standardization of sub-contracting agreement templates.

- Compliance under various acts as may be applicable.

- Defending of various Suits, Appeals, drafting replies.

- Litigation & Compliance Coordinating with Advocates, Solicitor, Attorney, and Consultant.

Profile

- 8 to 10 years of experience in Company Secretary functions, preferably from the Insurance sector.

- Academic Qualifications: CS with an additional qualification of LLB/LLM will be preferred. LL.B is not a mandatory qualification.

- Expertise in Regulatory & Statutory Compliances, Company Secretarial Functions.

- Deep understanding and experience in various kind of filings - RBI Filing, MCA & E Filings, Annual Filings, Statutory registrations, etc.
