Position Summary:   Under minimal supervision, works closely with business and functional units within Stryker India on a broad range of matters including legal and compliance issues consistent with laws, regulations, and Stryker policies.   Essential Duties & Responsibilities: (Detailed Description)  - Provide legal advice to Stryker management on issues affecting operations, including advice in the area of Intellectual Property  - Contractual documentation for channel partners  - Review commercial agreements and participate in negotiations to ensure the legal rights of Stryker are protected  - Develop appropriate intellectual property (IP) management plans for the protection of Stryker IP and deal with issues such as confidentiality agreements and patent filings where necessary  - Draft and implement appropriate agreements for surgeon consultancies, research, sponsorship and fellowships and ensure that appropriate compliance principles are included and that compliance standard operating procedures are followed  - Review tender agreements to ensure compliance issues are addressed  - Review and/or draft hospital supply/pricing agreements where special pricing arrangements are negotiated  - Draft Consignment and Loan Kit agreements in cases where Stryker products and/or instrumentation is provided to hospitals on a temporary basis  - Provide advice on employment - related issues where there is an issue to assess and/or when external legal advice may be required.   - Instruct external counsel in cases of litigation and monitor as appropriate.   - Responsible for reviewing and establishing standard forms for agreements with healthcare professionals in India  - Provide training to employees on appropriate conduct in interactions with healthcare professionals and advise on content and structure for company provided programs  - Assist and support Stryker's compliance programs and work closely with the Compliance Officer in this area  - Provide assistance in relation to governance of the Indian entities, ensuring that board meetings are properly conducted, and that annual meeting and filing requirements are observed.   Education & Special Trainings :  - Law degree and admission to practice law.  Qualifications & Experience :  - Minimum 8 years applicable professional experience; prior professional experience considered.  - Demonstrates good judgment and professional demeanor.   - Demonstrates ability to work effectively with colleagues in a global organization.   - Supports change in a dynamic environment.  - Ability to work independently and in a team.  - Possesses analytical and drafting skills.  - Ability to manage conflicting demands in a fast-paced environment.  - Demonstrates a commitment to integrity and accountability.  - Provides advice to others.  - Possesses communication skills and ability sufficient to convey basic legal concepts clearly and concisely.  - Has the ability to allocate resources effectively.  - Possesses basic organizational and good interpersonal skills.   - Maintains confidential information.  - Demonstrates proficiency in the Microsoft Office suite.  Competancies :   Sedentary work : Exerting up to 10 pounds of force occasionally and/or negligible amount of force constantly to move objects.
