Publication of results/intimation of BM under Clause 41 of the Listing Agreement - intimation to Stock Exchanges, newspaper advertisements  - Dissemination of information through BSE Listing, NEAPS, email and delivery of hard copies  Insider Trading Regulations :  - Understanding the provisions of the Insider Trading Regulations  - Assisting in compliance with the regulations  Supervising The Activities Of The R & TA :  - Audit of the requests received from the shareholders w.r.t. transfers, transmissions, name deletion, issue of duplicate share certificates, change in name, remat, demat, etc.  - Interacting with the shareholders on one to one basis through calls and other mode of communication, involving redressal of complaints, providing information, etc.  - Redressal of complaints received through SCORES, Stock Exchanges and MCA  - Compilation of Shareholder's Committee Agenda, minutes and other information   - Assist in compilation of Investor Grievance Committee agenda, other supporting documents   - Ensuring timely and efficient issue of duplicate share certificates  - To assist in Share Transfer Audit and reconciliation of share capital of the Company   - Re-validation of dividend warrants   - Ensuring timely receipt of data from RTA, weekly BENPOS, shareholding   - Redressal of shareholders complaints through SEBI SCORES   - Ensuring reduction in investor complaints   Subsidiaries :   - Drafting of Board Minutes  - Compliance with the provisions of Cos Act, 2013 and Rules  - Filing of returns with MCA   - Analysing the provisions of Cos Act/Rules   - Maintenance of Registers under Cos Act  - Extend support to JVs for Secretarial activities  To review the notifications/circulars/judgments issued by MCA/SEBI/Stock Exchanges impacting the Company and analyzing the same  Assist the Senior manager in conducting legal due diligence. Assist in drafting and preparation of various agreements like Joint venture agreement, Technology agreement, manufacturing and supply agreement, services agreements. Assist in closure of deals. Understanding and drafting of various contracts.   - FEMA Outbound Capital Transactions/ Corporate Guarantees / Current Account Transactions  - Understand the compliance under FEMA and other allied rules as applicable to the Company   Qualifications :   Essential : B.com, LLB, CS  Desired : Masters in Law / Business Law / specialized courses   Experience :   Essential : 4-5 years of experience in handling compliances in similar sized corporate  Desired : 4 - 5 years of experience in listed company and handled secretarial functions  Functional Competencies :   - Strong technical expertise, needs the ability to analyse sections, problem solving approach, needs to update knowledge from time to time, understand the functioning of the company well and needs to benchmark the practices, awareness of developments in the company and other companies.   - Needs to adhere to strict timelines to ensure timely compliance.   - There may be certain tasks which may not require a high skill but still needs to be done diligently. Needs to handle shareholders queries well.
