REQUIRED EXPERIENCE:

SCOPE AND RESPONSIBILITIES:

- Preparation of the annual budget and monitoring throughout the year.

- Manage and direct the accounting function of the company.

- Participation in the plan for growth and expansion of Mexico operation

- Coordinate with strategic areas of Corporate Finance team.

- Ensure the accuracy of the information reported to Corporate Finance

- Information management for monthly meetings with Corporate.

- Manage internal control i.e. Corporate Governance in accordance with corporate standards.

- Managing Information Technology functions

- Manage the business within approved Budget.

- Best utilization of shareholder's fund.

- Manage and direct the Finance and Accounting function of the Company

- Ensure that Bank and Cash balances are correct and there are no erroneous transactions.

- Quarterly Schedule-VI reporting, MIS, Treasury, Cash Flow and Reconciliation between MIS and Financial Statement. Annual Sec 212 reporting.

- Ensure that company is in compliance with local Tax laws., Ensure that VAT refund is filed on timely manner

- Maintain relation with the consultants, Auditor, Lawyers and Bank executives. Manage Treasury of the company in efficient manner. Prepare local Finance and Administrative policies, maintain Finance and IT system for accuracy of data.

- IT, legal and Administration

As a Legal representative of the Company: Act in the most responsible way to represent the company within and outside the Organization.

- Work in close coordination with the Country Head.

- Participate in growth and expansion plan of Mexico operations.

- Coordinate on strategic areas with Corporate Finance team.

- Assist the Country Head the Out Licensing, In licensing and Contract Manufacturing projects.

- Manage administrative works.

- Budgeting:

- Discuss and review the annual fund requirement and Budget with each department heads.

- Help the Country Head in presenting the Budget to the Top Management. Especially in terms of analysis and clarifications.

- On monthly basis review the Budget variances and discuss with the departmental heads about the issues faced and the solution.

- Ensure that no un-approved expenses are incurred by any department.

- Ensure that Department Head takes approval of Country Head and Finance Director before incurring any expense beyond the budget.

- Oversee cash, financing strategies, investment, and asset management.

- Control and manage the annual Budget preparation and monitoring throughout the year.

- Manage and monitor financial planning of the company so that annual budget targets are achieved.

- Control all the parameters of the performance of the P&L and keep the Country Head informed about the arear of concerns and achievements.

- Monthly compliance reporting: Manage finance and review other functions of the company to ensure that company is in compliance with the laws of Mexico and SEBI requirements.

- Manage funds in such a way that it is in the best interest of the company and follow Corporate's Concurrence System.

- Manage internal control i.e. Corporate Governance as per corporate standards.

- Management reporting i.e. MPRM and SBR etc.

- Timely send reports to Corporate office on:

- Monthly / Quarterly/ Annual information in SAP

- Monthly MIS and EC data etc

- B) Quarterly Schedule VI reporting, Treasury, Cash Flow and Reconciliation between MIS and Financial Statement.

- C) Annual Sec 212, 129 reporting, MIS, Treasury and EC data, Reconciliation between MIS and Financial Statement.

- D) Fixed Assets movement records

- G) Non-Budgeted items records

- Coordinate on strategic areas with Corporate Finance team.

- Regularly discuss with corporate finance about the local operation.

- Get the local policies and procedures reviewed by Corporate finance, especially Credit and Discount policy, Accounts Payable, internal controls etc.

- Ensure that Transfer Pricing criterions are met with Corporate.

- Coordinate with corporate finance for funding requirements.

- Manage and direct the Finance and Accounting function of the Company:

- Ensure that all the financial records are maintained as per the local accounting standards.

- Regularly review the trail balance to analyse the financial activities.

- Review all the expense vouchers are approved before payment.

- Ensure that Bank and Cash balances are correct and there are no erroneous transactions.

- Oversee cash flow planning and ensure availability of funds as needed: Discuss with the Sales Head about the Accounts Receivable and plan the availability of the fund in the company. Plan the Accounts payable of the company based on the receivable estimate given by the Sales Head and funding from Corporate.

- Manage internal control policies, guidelines, and procedures as per Corporate norms for activities such as budget, administration, cash and credit management and accounting.

- Ensure Corporate Governance.

- Ensure that company is in compliance with local Tax laws.

- Ensure that VAT refund is filed on timely manner.

- Maintain relation with the consultants, Auditor, Lawyers and Bank executives.

- Manage Treasury of the company in efficient manner.

- Prepare local Finance and Administrative policies.

- Prepare and update all Finance and Admin procedures and policies.

- Manage administrative work in most cost-efficient manner.

- Use best endeavours to promote the interests of the Company

- Keep the Company and the corporate management promptly and fully informed about the operations of the business.

Legal:

- Represent the Company before judicial authorities.

- Contribute to the business- objectives by providing legal and commercial advice to the Management.

- Implement, commercial, legal and contractual strategies for the business which are consistent with the long-term interests of the company.

- Highlight risk issues and find the mitigation plan.

- Take overall responsibility for the effective management and negotiation of contracts.

- Convene Board Meetings and get it notarized.

- Maintain Minutes books.

- Assist and advise board for good corporate governance.

- Ensure Compliance with statutory and regulatory requirements.

- Ensure all the Legal requirements of the company are fulfilled in line with the Corporate, Statutory, Labour laws of Mexico.

- Ensure that all the Contracts signed by the Company are reviewed by the Finance Director.

- Ensure that the Important contracts that are signed by the Finance Director or Country Head are reviewed by the Lawyer.

- Coordinate with the Corporate Legal team.

- Ensure that all the Legal Documents of the company are kept in the safe custody

- Manage corporate practices of the company.

Information Technology:

- Overseeing all technology operations and evaluating them according to established goals

- Devising and establishing IT policies and systems to support the implementation of strategies set by upper management

- Analyzing the business requirements of all departments to determine their technology needs

- Oversee all technology operations (e.g. network security) and evaluate them according to established goals

- Devise and establish IT policies and systems to support the implementation of strategies set by upper management

- Purchase efficient and cost effective technological equipment and software

- Inspect the use of technological equipment and software to ensure functionality and efficiency

- Manager and monitor IT function.

- Ensure that DBMS, FTP, Servers, emails etc function as per the requirement of the departments.

- Ensure Contpaqi, SAP and other interface with the third-party work as per the requirements.

- Keep checking the information flow and integrity of data.

- Regularly review the network and backup management system

- Ensure compliance with the IT policies of the company.

- Ensure compliance with the IT laws of Mexico.

- Ensure availability of information, Laptops, IPads/Tablets, Smartscale

- Identify the need for upgrades, configurations or new systems and report to upper management

- Coordinate IT managers and supervise computer scientists, technicians and other professionals to provide guidance
