Yes Securities - Company Secretarial & Legal Role - LLB/CS (4-5 yrs)

Roles and responsibilities of Secretarial :

1. Implementation of regulatory guidelines / circulars / amendments etc. of regulatory bodies

2. Independently handling of Meeting of the Board and various Committees of the Board and Annual General Meetings

3. Agenda papers of the Board Meeting and various Committees of the Board. Drafting of minutes of Board Meetings, Annual General Meetings, Extra- Ordinary General Meetings, Audit Committee Meetings and Remuneration Committee Meetings and other Committee Meetings

4. Updating and Maintaining of Statutory Registers / records. Preparation of various declarations in compliance of the Companies act, 2013 and the Listing Regulations, 2015 and drafting of various resolutions.

5. Drafting of Notice, Directors Report and preparation of complete Annual Report of Listed entity in compliance of the Listing Regulations, 2015 and provisions of the Companies Act, 2013 and rules framed thereunder.

6. Filing of Statutory E-Forms on Ministry of corporate Affairs and formalities related to various activities. Quarterly, half yearly, annual and event based compliances of BSE as required under Listing Regulations, 2015

7. Compliances related to interim and final dividend.

8. Handling matters related to shareholder grievances and regularly co-ordinating / dealing with Company's RTA.

9. Handling event based various due diligences from time to time.

10. Liaising with Internal auditors and handled audit for other functions, statutory auditor and secretarial auditors and various consultant to attend the Company's matters.

Roles and responsibilities of Legal :

- Over all co-ordination of legal matters with Advocates (Litigation and Non-Litigation)

- Internal and external co-ordination with the department heads / management / Advocates on legal matters and advising the management on the possible recourse of a legal cases and providing inputs on various court matters.

- Overall co-ordination with Attorney and advising the management to ensure the registration of Company's Logo and Trademarks under the right class including renewals.

- Drafting, review and vetting of agreements / contacts / business communications / proposals / leave and license agreements and ensuring complete execution.

- In-depth knowledge of legal & secretarial requirements of the industry, local environment/s, etc.

- Excellent written and verbal communication skills

- Strong process orientation

- Strong influencing skills

- Interpersonal skills with a distinct leadership style

- Strategic capability to deal with ambiguity

Essential Profile requirement :

- Educational Qualification : LLB & CS

- Work Experience : 4-5 years in areas of Company Secretarial & Legal

- Excellent written and verbal communication skills
