The Senior Associate, Service Provider Governance Contract Analysis is responsible for ensuring Contract compliance, manage clarifications on terms, enable Contract Changes and variations that arise over the lifecycle of the contract, draft amendments and ensure the spirit of contractual relationship is not diluted. The role will report to a Leader with experience on Vendor Governance, Supplier Management and issue resolution. This role works cross-functionally with the Commercial Management and Service Level Management.

Key responsibilities:

- Maintain documents relevant to Supplier Management & Governance, including contractual documents, change history, obligation compliance and governance artifacts. Manage access control to documentation

- Track the contractual obligations systematically by categorizing the criticality, priority and business impact

- Work closely with Supplier to ensure the compliance of contractual obligations and deliverables related to Supplier outscoring contract

- Identify the risk associated with the non-compliance of contractual obligation

- Address contractual queries in case of any ambiguity. Provides clarity on contract language or conduct contract research for any clarification as well as a consolidated list of all queries along with analysis for future reference

- Review and validate Work Orders/Project Orders and provide the insights

- Recommend contract change in case of any gap identified related to contractual clauses. Manage changes to contractual documents and associated obligations and deliverables

- Support Risk, Action and Issue Management process by tracking and ensure the closure and compliance

- Manage legal notices, approvals, consents and other correspondences related to the contract

- Coordinate with Commercial Management and Service Level Management team to ensure the service performance and financial accepts of are operating in line with the contract

- Provide coaching and mentoring to Associates and Junior Associates

- Ability to work independently on complex projects

What we require:

- Bachelor's Degree or Master's degree in Law

- At least 2 years experience in practicing law (preferred)

- Min 3-5 years experience in corporate firms Bachelor's Degree in commerce discipline with MBA in Finance (preferred)

- Minimum of 4-5 years of experience in managing outsourcing services and Suppliers

- Must be knowledgeable of the major elements of the assigned contract(s). Understanding about the complex outsourcing contractual structures

- Contract Drafting

- Experience in drafting contract documents clearly and correctly. Laying out the document logically, keeping the writing clear and concise, avoiding grammatical errors and, finally, editing and correcting the document in a systematic and thorough way

- Contract Review and Analysis

- Review and Identify critical terms and risks in IT outsourcing Contracts. Identify contractual deliverables and obligations of the parties. Interpret contract language and provide analysis and recommendation

- Contract Management and Compliance

- Contract abstraction, Administer and manage contracts post execution. Track and monitor contract deliverable and obligation compliance. Identify non-compliance issues and work with Supplier for its resolution

- Working with Contract management tool

- Experience in handling contract management processes through software platform

- Demonstrates strong verbal and written English language skills. Ability to write and speak clearly and effectively
