Headquartered in Irvine, USA, WaterHealth International runs operations worldwide i.e. Ghana, Nigeria and India. WHI was incorporated in 2006 with a vision to provide safe, scalable and affordable drinking water to the underserved communities across the world. In Thirteen (13) years of its operation, WHI has successfully installed and is running more than 500 WaterHealth Centers (WHCs) and 300 Water Vending Machines across the globe providing access to safe water to over seven (7) million consumers. Roles and Responsibilities: - Ensuring proper maintenance of Statutory Registers, Minutes Books and Papers. - Assist in preparation of e-forms, Returns, Documents and Resolutions / Agreements required to be filed with the Registrar of Companies. - Ensure for all e-forms to be filed with ROC under Ministry of Corporate Affairs. - Conduct Meetings of Board of Directors and Shareholders and also ensuring due compliance with the requirements as to holding of meetings of Directors and Members of the Company. - Prepare the Notices, Agenda and Minutes of the Meeting of Board of Directors and Shareholders. - Ensuring compliance with the Company Law with regard to appointment / removal of Directors/ Managing Director and fixing remuneration in accordance with provisions of Company Law. - Assist the Company in allot / transfer of any securities and issue Certificates within the stipulated time and in accordance with the procedure prescribed. - Advising the company as to the requirements of Law relating to dividend declaration and payment. - Assist the company in preparation of documents for the Charge Creations with the Registrar of Company for the Loans taken and issue Search Reports whenever necessary. - Assist the Company in filling and filling of any documents/returns/ application to Company Law Board/ Central Government. - Assist and advice the Company for due compliance of the provisions of FEMA / RBI Guidelines with regard to Foreign Investments / borrowings. - Attest and issue certificates for the due compliance of the provisions of Companies Act, FEMA and RBI Guidelines for issue of shares. - Attest and issue certificates for the due compliance of the provisions of FEMA and RBI Guidelines for ECB related documents. - Assist the Company with relating matters for compliance of Companies Act, RBI Compliances and other Secretarial related issues. - Assist the African Companies to maintain the statutory records and minutes in compliance of the applicable laws as well as in line with the Indian laws. - Prepare Board meeting minutes and notices for all the West African countries. - Ensure the statutory compliance related to Ministry of Corporate Affairs for all the Companies listed Companies.
