Role


Handle all aspects of secretarial and legal function

1) Ensuring compliance with Company Law, Capital Market Regulations, FEMA and other Corporate laws.

2) Managing legal work related to Acquisition and Mergers, Joint Ventures and Overseas Investments; preparation and vetting of agreements/contracts; providing legal advice and prosecuting cases filed by / against the Company.

3) Additionally, the role will effectively support and manage shareholder relationships by being the primary channel of communication to them, developing strategic plans around engaging with them, and by handling stakeholder conversations.

Responsibilities :

- Facilitate in creating and managing the corporate governance structure.

- Protect the interests/reputation of the CEO, Board and the organization.

- Advise on M&As, negotiations, integration of entities and governance.

- Manage all litigations on IPR, property, trade collections and other related matters.

- Preparing and presentation of reports/annual reports.

- Liaison with the shareholders/strategic investors and provide prompt and efficient investor related services.

- Co-ordinate with regulatory authorities.

- Stay updated on changes in compliance/ statutes and advise the management on implications.

- Co-ordination with overseas subsidiaries and JVs.

Candidate

- Qualified Company Secretary from the Institute of Company secretaries of India.

- B.L / LL.B

- Preference for Practical experience in appearing in court.

- Around 20 years' experience.

- Experience as Co. Secretary of a listed company with robust Board processes.

- Experience in a multi-divisional company with a number of subsidiaries will be a plus.

- Ability to inspire confidence in Board members, senior regulatory representatives and take independent decisions on matters.

- Thorough knowledge of Companies act, RBI regulations as well as all relevant corporate laws.

- Should have a clear Action Focus and an ability to get things done.

- Must demonstrate Change Management & Influencing Skills.

- Should be guided by a deeply embedded Value system.

- Must have solid Risk Management Skills.
