We are looking for candidates preferably from law firm background for heading legal department at Experion Developers. To provide expert and strategic legal advice to the organization and includes : 1. Draft and execute the legal documentation (pertaining to Collaboration Agreement, Memorandum of Understanding, Supplemental Agreement, Power of Attorney, Agreement to Sell, Lease Deed, Commercial Contracts etc.) of the organization and it's various functions within the Company in a manner that best protects the legal interests of the company and minimize the risks. 2. Ensuring Drafting and Vetting of Petitions, Written Statements, Replications, Affidavits, Legal Notices, Miscellaneous Applications and suits of various nature etc. 3. Evaluate the ongoing litigations and provide comprehensive suggestions and solutions in the best interests of the company and achieve reduction in litigation related costs. 4. Supervising and attending arbitration petitions, Criminal/civil litigation including writ petitions, suits, company petitions and applications, High Court, Company Law Board, City Civil Court, and the Debts Recovery Tribunal, consumer forum, state commission etc. 5. Draft and ensure standardization of legal documents such as Title transfer deeds, Agreement of sale, Offer letters, Conveyance documents, Lease Deeds, License Agreements etc. 6. Lead the Due - diligence of lands and vetting of legal documentation and provide speed and accuracy. 7. Review of Title Search Reports during land/property acquisition in particular Title investigation &amp; Local legislation. 8. Ensure the collection of all required legal documents and assist in background research on the property to be acquired during due diligence phase. 9. Coordinating with various clients for collection of legal documents from them (Title documents, Plan approvals, Government approvals, SRA documents, Joint Development Agreements, Tenant Settlement Agreements, Lease Agreements, Search Reports etc.) required to be studied to get an understanding on the legality / sufficiency of approvals for the project (s) under consideration for lending opportunities. 10. Handles all legal matters relating to real estate leasing transactions, acquisitions/dispositions, design and construction contracts, major building operations agreements and related real estate contracts. Our team also collaborates closely with professionals throughout the firm, as well as outside counsel and external service providers. 11. Assist on real property aspects of mergers, acquisitions and other corporate transactions. 12. Providing advisory inputs on taxation matters and deal structuring (Joint Development, Joint Venture, and Outright purchase) from legal point of view. 13. Negotiating and execute documents with Banks/Financial Institutions in close co-ordination with Finance Dept. 14. Proactively anticipate issues and estimate risks strategically. Provide the best solutions for risk mitigation. 15. Deal with complex legal situations should they arise on account of any reasons and provide sound legal advice to lead from the front to handle such situations. 16. Proactively map the legislative/regulatory/statutory changes that may impact the business and provide solutions and implementation strategy in the best interest of the Company. 17. Advice on matters pertaining to setting up new products for the company from the legal perspective. 18. Educating internal customers on contract drafting, RERA etc. &amp; other legal issues related to their respective areas of operation 19. Look after the Company Secretarial function for the Group and providing advisory support to the Management on changes effected in the Company Laws. Functional Skills : 1. Strong at developing process mechanism &amp; tracking them. 2. Very good written &amp; verbal English communication, drafting &amp; presentation skills. 3. Expert knowledge on corporate laws, including but not limited to Companies Act, FEMA, FCRA, RERA, GST and laws/ regulations related to FDI, RBI, SEBI, Competition Law regulations to advise on corporate restructuring strategies 4. Good understanding of Equity, NCDs, Real Estate Fund, Security instruments knowledge of Real Estate Project/Infrastructure financing Matters Soft Skills : 1. Negotiating skill for resolving issues. 2. Very good leadership qualities like problem solving, attitude to work, working through teams, strong communication skills, Result orientation, Detail orientation etc. 3. Strong organizational skills and ability to multi-task within demanding timeframes. Technical Skills : 1. Excellent knowledge of litigation process and management 2. Must have a hawk's eye for detail. 3. Must be highly experienced in Corporate Legal advisory.
