Our Prestigious Client Indian MNC , leader in their Business , shifting their Corporate office to Mumbai is searching for VP /Head Company_Secretory

Location: Mumbai

Roles Reports to CFO

Number of Reportees : 5 to 7

CTC Budget : 60.00 L to 70.00L

Qualification & Experience : CS -Company Secretary with 17 to 20 years of experience out of which 10+ years in Listed Indian Company or Conglomerate or Indian MNC.

Key Deliverables :

- Post IPO SEBI compliances under Corporate & Other Laws. .

- BSE and NSE Coordination

- Compliances and liaising with the Ministry of Corporate Affairs, Registrar of Companies, the Reserve Bank of India, and other statutory authorities.

- Convening Monthly & Quarterly Board Meetings and General Meetings, preparing agenda and minutes.

- Implementing of Corporate Governance processes.

- Advise Board of Directors on key managerial and corporate governance issues -with transparency and firmness. (He shouldn't be Yes Man)

- Maintains all Documentation & Disclosure.

- Guide other functional members on the Company Law on issues related to document management, litigation holds, litigation strategy, and document management process improvements.

Competency :

- Possess ability to conceive, create, and deliver persuasive business cases to CFO & Board of Directors (Strong strategic thinker)

- Possess ability to analyze & benchmark competitive scenarios and evaluate strategic partnership opportunities

- Excellent written and oral communication skills; consistently communicates using appropriate methods for situation and audience in clear, concise and professional manner

- Possess high knowledge of all statutory compliances w.r.t. Secretarial function.

- Ability to work collaboratively and proactively with multi-functional teams

- Be flexible, organized and able to handle competing priorities

- Excellent active listening skills and ability to dissect problems in an organized manner

- Self-motivator with a creative, innovative mind
