Role Overview
Our client is preparing for an IPO in the next 12-15 months, we are looking for a highly skilled and strategic leader to take on the role of Head of Corporate Finance & Investor Relations. This individual will be responsible for leading the FP&A function, driving financial strategy, capital allocation, investor communications, and M&A initiatives. Additionally, the candidate will play a critical role in the IPO process, working closely with investment banks, legal advisors, and regulators.
Key Responsibilities
Financial Planning & Analysis (FP&A)
- Lead and oversee the FP&A function, ensuring accurate financial forecasting, budgeting, and performance analysis.
- Develop robust financial models to support business planning, capital allocation, and strategic decision-making.
- Provide financial insights and recommendations to the CFO and leadership team to drive business growth and profitability.
- Monitor key financial metrics and business KPIs, proactively identifying risks and opportunities.
Corporate Finance & M&A
- Oversee all aspects of corporate finance, including capital structure planning, financial forecasting, and cash flow management.
- Evaluate and execute Mergers & Acquisitions (M&A) transactions, including due diligence, valuation, deal structuring, and negotiations with bankers, lawyers, and other stakeholders.
- Assess funding needs and evaluate financing options to support business growth and expansion.
IPO Preparation & Capital Markets
- Lead and manage the financial and investor relations aspects of the IPO process, working closely with external advisors, investment banks, and regulatory bodies.
- Drive IPO readiness, ensuring compliance with regulatory requirements, financial reporting enhancements, and investor roadshow preparations.
- Develop market positioning strategies to enhance investor confidence and maximize IPO success.
- Prepare financial narratives, investor decks, and public offering documents in collaboration with external advisors.
Investor Relations & Stakeholder Management
- Develop and execute an investor relations strategy to effectively communicate the company's financial performance and strategic vision to investors, analysts, and key stakeholders.
- Act as a key liaison between the company and existing/potential investors, ensuring transparency and credibility in financial disclosures.
- Build and maintain strong relationships with investment banks, private equity firms, legal advisors, and other financial stakeholders.
Leadership & Communication
- Provide strategic insights to senior leadership on market trends, capital markets strategy, and investor sentiment.
- Lead and mentor a team to strengthen financial planning, reporting, and investor relations capabilities.
- Represent the company at investor conferences, earnings calls, and key financial discussions.
- Ensure compliance with financial regulations, corporate governance norms, and industry best practices.
Key Qualifications & Skills
FP&A Leadership - Strong experience in leading financial planning, budgeting, and forecasting for a high-growth company.
IPO & Capital Markets Experience - Prior experience in leading or participating in an IPO process will be a significant advantage.
Financial Modeling & Analysis - Strong ability to build and interpret complex financial models.
M&A Expertise - Proven track record in executing M&A transactions and managing cross-functional deal teams.
Investor Relations Leadership - Experience in investor relations for either a private or public company.
Analytical & Strategic Thinking - Ability to analyze complex financial data and provide strategic recommendations.
Communication & Interpersonal Skills - Excellent ability to engage with investors, bankers, and internal stakeholders.
Leadership & Stakeholder Management - Strong ability to influence decision-making and work closely with C-suite executives.
Preferred Background
- Industry Experience: Experience in relevant industry - e.g., fintech, insurance, technology, consumer businesses
- Education: CA or MBA (Finance) from a reputed institution.
- Experience: At least 10 years of relevant experience in FP&A, corporate finance, M&A, investor relations, and IPO readiness.
