Vice President - Compliance - BFS

1) Fund Operations and Management

a. All legal and Corporate secretarial matters, including company/LLP incorporation, RoC filing etc related to Fund entities and Fund Manager ("Firm")

b. FEMA and RBI compliances and relevant filings;

c. Corporate governance and relevant SEBI / IFSC / SEZ compliances as applicable related to AIFs set up in Mumbai and AIF set up in Gift City

d. Ensuring that the firm and employees comply with all Fund compliance policies including updating the existing policies from time to time and arranging third party training and seminars as may be needed

e. Responding to Investors queries on ESG and compliance related matters

f. Managing Insider Trading compliance policy for the firm

g. Maintaining repository of documentation (both paper documents and scanned copies) for all investments and divestments

h. Supporting finance team for contracts with operational vendors

i. Safekeeping and controlling usage of DSCs as required

j. Maintaining record of other directorships/ partnerships

2) Portfolio Support (through the life of the investment) :

a. Working alongside the CFO and investment team on all legal and secretarial matters related to portfolio investments reviewing term sheets and bid letters for potential transactions

b. Reviewing and clearing NDAs for new transactions

c. Assisting the investment team on legal and secretarial diligences for potential transactions

d. Working alongside finance team to coordinate transaction closings

e. Coordinating and negotiating contracts with transaction vendors

f. Helping on IPOs and other exits

3) Fund Raise :

a. Working alongside the CFO on end to end fund raise process - including fund documentation, KYC, fund structuring, regulatory compliance, investor diligence process, data room management, etc
