Company Secretary with 15+ years of PQE  2. Should be well-versed with Company Law and adept at handling board affairs, secretarial compliances etc.  3. Candidates from listed companies preferred - if not listed entities, we will look at candidates from organisations with a good scale & complex structures  4. Diversity candidates preferred.  Execution of Board Meetings and General Meeting (EGM/AGM):  a) Convening of Board / EGM/AGM, preparation of agenda, minutes, etc.  b) Convening of CSR Meeting; preparation of agenda, minutes, etc.  c) Fulfillment of related compliance including the filing of forms, as required  d) To review ToRs & Policies for Committee once in annual years  Your Role :  To ensure all the compliance requirements related to filings are met :  a) Filing of Annual Return (MGT-7 & 8), AOC 4 (XBRL), etc.  b) Filing of vehicle charges cases (CHG-1/4)  c) Any other event based filings  d) Management reporting e.g., Directors Reports etc.  - Periodic / event based reporting to BCS, UK and Company Secretary, Asia Pacific based in Singapore and India Country Management  a) Meeting information requirements from the Group  b) Monthly & Qtrly attestation to BCS and regulatory compliance update:  - Provide regular update to Onshore BCS team  - To ensure Blueprint is up-to-date with latest changes including annual attestations  - To ensure timely updating of compliances done on the e-Compliance tool and to assess, report, manage risks for activities relating to Company Secretarial function  Essential Skills :  - Member of ICSI (preferably a fellow member)  - Drafting, communication and stakeholder management  - Proactive, Confident, Self-driven, Good grasping, adaptive, go-getter, always focussed on adding value  - Up-to-date knowledge and understanding of laws and Company Secretarial practices  Desirable Skills :  - LLB is preferred  - Exposure to core legal areas of work
