Job Description

Shall be designated as the whole time company secretary of one entity and shall oversee the legal and compliance functions of two entities which shall include the following:

- To draft, vet, negotiate and finalize various legal contracts including service level agreements, non-disclosure agreements etc. for various business verticals and also ensuring on timely renewals.

- To monitor legal database for all contracts executed with the Company

- To provide legal advice & support to internal stakeholders on strategic initiatives, providing responses to various requests for proposal and to work closely with key contacts on legal implications and risks involved with potential transactions

- To regularly monitor legal issues including handling of legal cases/litigation matters

- To regularly monitor the vendor due diligence management system and the anti-bribery anti-corruption compliances within both the entities

- To identify legal issues and manage and mitigate the risk while keeping the management informed of issues and risks

- To brief and work with senior Counsel and advisors/consultants on key corporate legal & corporate governance matters

- To support issues & interpret circulars related to various statutory authorities concerning statutory / regulatory compliances & guidelines prescribed by authorities like Ministry of Corporate Affairs/ Registrar of Companies, Reserve Bank of India, Insurance Regulatory & Development Authority of India etc.

- To look after and ensure compliances with the Company Law including secretarial standards for the two entities, convening of board and general meeting, preparation of Director's report, Annual Report, share transfer etc.

- To ensure periodic reporting to the Board of Directors of the compliances of the company as specified under Section 205 of the Companies Act, 2013

- To conduct investigation in case of any breach of internal code of conduct

- To manage a team size of up to three people

Desirable Experience

Prior experience in handling IRDA compliances with insurance or insurance intermediaries and RBI/FEMA compliances shall be an added advantage. 8 - 10 years of relevant experience. Candidate should be Mumbai based.
