Unified Vision Capital - Company Secretary - Fund Management & Compliance

Responsibilities:

Fund Management & Compliance:

- Lead the setup, administration, and management of onshore and offshore AIF Category-II funds.

- Ensure comprehensive compliance with all applicable regulations, including the Companies Act, the LLP Act, SEBI Guidelines, and the Indian Trust Act.

- Draft, review, and negotiate legal contracts related to fund establishment and investor agreements.

- Interface with regulatory bodies (RoC, RBI, SEBI) for regulatory adherence and resolution of any issues.

Investor Relations & Business Development:

- Build and maintain strong relationships with investors, including onshore and offshore GPs and LPs.

- Identify, cultivate, and develop new investor relationships to support business growth.

- Prepare and present compelling investment proposals, effectively negotiating and closing transactions.

Stakeholder Management & Collaboration:

- Engage with key stakeholders (promoters, directors, C-level executives) to drive business development and execute - mandates.

- Coordinate with auditors, legal counsels, and internal teams to ensure smooth fund operations.

- Travel as necessary, both domestically and internationally, to manage fund operations and build relationships.

- Work closely with the global management team to align strategies and ensure cohesive operations across locations.

Qualifications:

- Certified Company Secretary (CS) with a degree in Corporate Law or a related field (CA/CFA preferred).

- Minimum 10+ years of experience in client and investor coordination within investment banking or financial services.

- Proven track record of successfully establishing and managing AIFs and private equity funds.

- Strong leadership and management skills with the ability to lead and motivate a team.

- In-depth understanding of compliance requirements within the investment banking and fund management sectors.

- Excellent written and verbal communication skills in English.

- Proactive, self-motivated approach with a strong understanding of legal and financial concepts.
