Main Purpose Reporting to the Head of Department, the successful applicant will work with other team members based in Amsterdam, Singapore and Geneva to maintain, and responsible for all aspects of company secretarial and associated matters for a number of group companies based in other jurisdictions outside India. The core duties are the management of the corporate legal administration and compliance for those companies, including the drafting and reviewing of legal documents (such as board/shareholder resolutions, intragroup agreements) in relation to the operations of the group. In addition, the successful applicant will form part of a team who collectively perform the same role for all group companies worldwide. Knowledge, Skills and Abilities - Familiarity with Indian company law and company secretarial practice is essential; knowledge of other jurisdictions is highly desirable - 4-8 years of relevant work experience, gained ideally in an in-house legal or company secretarial department or with a legal firm or company secretarial service provider - Relevant academic background, such as a law degree and/or professional qualification (eg. ICSI or ICSA) preferred - Demonstrable ability to work in a fast-paced commercial environment, often dealing with senior management and colleagues based worldwide. - Ability to work independently and comfortable with managing a busy workload of changing priorities. - A practical, 'can do' attitude and ability to produce quick solutions is essential. - Fluent English; other European languages desirable but not essential - Familiarity with company secretarial software (eg Blueprint, GEMS, etc.) desirable - Familiarity with standard MS Office computer software and online resources essential - Excellent oral and written communication skills - Energetic, dynamic and enthusiastic personality Key Responsibilities Ownership of the administration and management of all corporate secretarial and compliance matters for a portfolio of legal entities across a variety of jurisdictions, including: - The management and coordination of statutory compliance matters and associated board minutes, resolutions, powers of attorney and proxies, General Meetings, share transfers and issuance, changes to articles and boards, etc. - Drafting, coordinating and managing the timely and accurate execution of legal and corporate documents on an ad-hoc basis. - Maintaining accurate and proper statutory records and overseeing document and record management and other administrative processes. - Liaising with and supporting internal group functions (including legal, tax, finance, treasury) as well as external suppliers, professional advisors (audit and legal) and company agents.
