Responsibilities:

Brand oversight: Manage all aspects and issues related to identified brand entities of TMRW. This includes coordinating with various teams and ensuring legal compliance and risk mitigation.

Contract Review & Negotiation: Review, draft and negotiate various commercial contracts. This includes logistic contracts, supply contracts, warehousing agreements, service contracts, and license contracts.

Compliance: Periodic review of legal compliance and ensuring full legal compliance at the brand entity level. This includes procuring & renewing licenses/registrations (with the help of external consultants), analyzing the need for particular licenses/registrations, and reporting to senior management on any non-compliance.

IP: Managing IP of brand entities. This includes registration of trademarks, copyrights, designs, etc. (with the help of external consultants), preparing IP policy, advising marketing & sales team on potential IP breaches/infringement

Template Contract Maintenance: Review standard templates and update them as per business needs.

Dispute resolution / Litigation: Preparing a response to any legal notice, strategizing the approach, and coordinating with external counsels on the filing of replies

Repository of Documents / IP: Maintain proper data on executed contracts, licenses and registrations, IP status & various legal policies

M&A activities: Assist in legal due diligence, review of definitive agreements, completion of conditions precedent and conditions subsequent, and coordinating with law firms.

Qualification:

- At least 7+ years of relevant work experience in a Tier 1 or Tier 2 law firm or in an MNC / conglomerate.

- Willingness to work on board a variety of legal matters

- Self-starter who is willing to take initiative and is comfortable taking on responsibility

- Be prepared for occasional travel as required for business needs

- Effective verbal and written communication skills, with the ability to convey information clearly to various functions within the organization
