About the Position: - Facilitate closing of Brand Capital deals by looking after the documentation, negotiations with the clients and their lawyers and if necessary, carrying out the requisite due diligence; constant updating of the standard drafts of the agreement and helping out the business development teams with the legal aspects of the transactions with the objective of arriving at a workable transaction structure and ensuring smooth closure for the transactions. Job Size Non-Financial: - Preparation of legal documentation for Brand Capital deals - Keeping up to date with all pertinent regulatory developments Working Relationships - Frequent Interactions (inside and outside the organization) - Other Brand Capital Members - For discussing the deals and structure related issues and pertinent regulatory issues. - Lawyers - For negotiating the terms of the Brand Capital Deals. - Members of Corporate Legal team / Counsels - For litigation matters involving Brand Capital clients. Areas of Responsibility - Preparation of documentation of Brand Capital Deals 70% - Draft the standard agreements, update the same on a continuous basis, and customize the agreements for each Brand Capital clients, in order to ensure timely and hassle-free closure of deals. - Completion of documentation within the allotted time. - Coordination with other teams within BCCL 5% - Coordinate with a Secretarial and Legal department in connection with matters where litigation is to be initiated against the Brand Capital clients, in order to facilitate smooth flow of instituting litigation and related issues. - Filing of the appropriate legal action against the defaulting clients and maintaining proper records and documentation in connection thereto. - Coordination across teams 25% - Guide and clarify to Business Development team members on legal issues related to the transactions, and procedures involved in relation thereto in order to facilitate deal closure - Closure of deals Major Challenges - Preparation and upgradation of standard drafts in order to meet the challenges of constantly changing market scenarios and tax regime and provide an appropriate transaction structure. - Meeting the expectation of the Business Development Team in terms of a deadline when many deals are closing simultaneously. Knowledge/ Skills required: - Good drafting skills, a good understanding of legal and regulatory compliances and should be able to offer innovative solutions keeping in mind the commercial interest of the BCCL group. - Fair understanding of the financial aspects of a transaction. Preferable if Decision Making Authority - Decisions involving finalization of documentation and process related issues. - Recommendations related to designing new financial structures. - Matters involving financial exposures. Education and Experience - LL.B. preferably with CS - At least 4 years of law firm experience with exposure in the capital market, mergers, and acquisitions, private equity and venture capital transactions, corporate and regulatory compliances, and independent negotiations.
