Company Secretary Responsibilities


- Drafting of minutes of the Annual General Meeting, Board Meeting, Committee Meeting & Attendance register.

- Drafting of the Notice & Agenda of the General Meeting, Board Meeting & various Committee Meetings.

- Pre and Post Annual General Meeting Compliances.


- Appointment, reappointment, resignation and other related works of directors including Independent Directors and filling of e-form DIR-12&DIR-11 as per Companies Act, 2013.

- Execution of work for obtaining the DIN(Director Identification Number)


- Annual Report including Directors' Report, Corporate Governance Report and Management Discussion &Analysis Report pursuant to the provision of the Companies Act,2013 Drafting various resolutions ,Agreements, Indemnity Bond, Authorisation and Legal Letters.


- Convert Balance sheet of the Companies in XBRL format & facilitate Financial Statement in XBRL mode

- Handling Annual General Meeting.

- Handling the entire procedure of Dividend disbursement if any to shareholders.

- Drafting of various policies as required under Companies Act, 2013 and Listing Obligations and Disclosure Requirements. Maintaining Statutory Registers and Records.

- Investor Relations & Share Transfer Management.

- Handling Annual E-Filing of the Company and various other e-forms with MCA,

- Allotment of Equity shares on Private Placement Basis, ESOP etc.

- Preparation of the Documentation for opening of the Bank Accounts both for individuals & the companies.

- Preparation of Documents for obtaining of Digital Signature Certificate (DSC)

Compliance Management

- Ensuring Compliance under the Companies Act, 2013.

- Preparing and filing requisite Forms with RBI and Complying with RBI & FEMA compliance in relation of Foreign Investment in India as well as overseas investment in foreign subsidiaries.
