Role & Responsibilities of the Position in Brief:

- Review, draft and negotiate a large variety of agreements, such as RFPs/tenders, sales contracts, licensing agreements, service agreements, vendor agreements, SLAs, SOWs, and NDAs on a daily basis.

- Create contract abstracts that identify major highlights of the contract including spend and legal changes

- Work closely with the various departments early in the contract process to develop proposals, oversee preparation of contracts, monitor progress, discuss potential operational issues and develop follow-up plans to address such issues.

- Counsel internal clients on the implications of various terms and conditions of agreements and ensure that all contracts comply with the company’s internal legal and business standard operating procedures.

- Facilitate the contract process including review of documents, obtaining all information necessary, obtaining approvals, communicating appropriate information to the relevant parties and updating all necessary systems.

- Ensure all contracts are obtained, filed and organized in the contract management system.

- Facilitate the documentation of scopes of work that fully capture service descriptions, fees, deliverables, and other attributes

- Organize and maintain a repository for originals and certified copies of all contract and other legal paperwork, correspondence, and responses (physical and electronic) and be able to produce the necessary documentation when requested for authorized requests (i.e. audits).

- Analyze the existing contract administration environment and recommend process improvements, new systems, and ways to further develop corporate contract workflow.

- Analyze issues and use sound judgment: gather and analyze information needed to understand problems; base decisions on sound logic and rationale; advance problems toward resolution when encountering ambiguity or uncertainty; choose the best alternative based on consideration of pros, cons, trade-offs, timing and available resources; make timely decisions on problems and issues requiring immediate attention; make sound decisions on complex functional issues and problems.

- Work to support processes for contracting, contract executing and contract status monthly update collaboratively with the finance department.

- Ensure compliance with customer contracts.

- Establish relationship with Corporate Legal and Risk Management to ensure all contractual conditions comply with standards

Qualification: - Min: Law Graduate

Preference: Post-graduate in law

Required:

Functional/Domain Skills

1) 4 years of commercial contract drafting, negotiation & management experience

2) Contractual understanding and basic application skills

3) Computer proficiency to include Microsoft Office Applications, social media and industry specific management applications

Soft Skills/Behavioral competencies:

- Action and results-oriented, enthusiastic, Possess high level of discretion & high level of confidentiality, and professional maturity

This is a business-oriented commercial lawyer role. The incumbent will be responsible for drafting, negotiation and review of contracts and other legal documents as required by the PMO from time-to-time and provide legal support and advice on the business development team. The incumbent will be required to advise the PMO on compliance with relevant laws and regulations including Factories Act, labour laws, insurance and SEZ laws and regulations.
