Minimum of 7 to 12 years experience at a reputable law firm Required: Law Degree from a top Indian or international law school Reporting to: Legal - Head Base Location: Mumbai Position Responsibility: 1. Should be having hands-on exposure in handling all Commercial Contracts. 2. Should be good in Litigation Management. 3. Negotiate, draft and close a range of solar PV development agreements, including EPC, O&M, PPAs and land acquisition agreements. 4. Structure, negotiate, draft and close project finance transactions for loans from banks and institutions. 5. Work with and submit projects to the state owned power producer and regional electric companies for obtainment of long-term power purchase agreements. 6. Manage and be responsible for regulatory, corporate and legal compliance for the Company. 7. Formation, maintenance and administration of operating and project or special purpose entities 8. Conduct legal due diligence related to the development of solar energy facilities throughout India and in other developing markets (including real estate matters such as leasing and the acquisition of rights of way, and on environmental and permitting issues), and draft and negotiate all related agreements. 9. Draft and negotiate Strategic joint venture agreements with partner companies including SHA, SSA, SPA etc. 10. Assist the company with respect to tax matters and financing transactions. 11. Provide legal counsel on issues arising from actual or anticipated lawsuits. 12. Anticipate and guard against legal risks facing the company.
