JOB PURPOSE

The role is responsible for identification of the target, evaluate, assess and make recommendations to top management for Mergers and Acquisitions. It also includes execution of the transaction and monitoring the performance of the target post acquisition.

ACCOUNTABILITIES

MAJOR ACCOUNTABILITIES TIME SPLIT SUB-ACCOUNTABILITIES

1. Due Diligence 20%

i. Coordination with the functional teams

ii. Appointment of external advisors

iii. Obtain information/ data from target

iv. Interaction with the target on various queries

v. Identification of risk and its mitigation

2. Valuation and assessment 20%

i. Develop the financial models that support the assessment and underlying valuation of acquisition opportunities. Valuation of the target company, its financials and business projections

ii. Identification of synergies

iii. Identification of value expectations and competitions

iv. Value recommendations

3. Negotiations 20%

i. Preparation of binding/ non-binding offers

ii. Discussion, interaction and negotiation with the target on the offer

4. Documentation, Transaction closing and structuring 10%

i. Preparation of the negotiation document and its negotiation

ii. Initiate regulatory filings, if any

iii. Initiate press releases

iv. Signing of definitive agreement between concerned parties

v. Raise finance support, if any

vi. Tax raising with the help of taxation department

5. Opportunities screening 30%

i. Interaction with various investment banks to obtain possible acquisition ideas/ opportunities

ii. Continuous market scan for potential opportunities

iii. Proactive identification for any opportunity that recedes with the organization

KEY DECISIONS AND AUTHORITY LIMITS

i. Recommendation to the top management on the feasibility of the transaction

ii. Appointment of advisors

MAJOR CHALLENGES

i. Interaction with the decision makers

ii. Involvement of business heads in the process

iii. Clarity on the areas where the acquisition can be done

iv. More visibility of the 3-year plan which might help to strategize

KEY PEER RELATIONSHIPS

1. Business development Team - Technical, product and commercial evaluation

2. Various Functional Heads and Business Teams - Market evaluation

3. Regulatory, legal and secretarial - Trademark, Intellectual property

- Documentation

- Legal Diligence

4. MD Office - Presentation to the MD on the prospects of the transaction

5. Treasury - Arranging for the Finance for the transaction

6. Taxation - Tax structuring

7. Advisors - Diligence & documentation

8. Target Management - Evaluation, negotiation, etc.

EDUCATIONAL QUALIFICATIONS:

(Additional Certification Required if any) Minimum:

- BPharm/MPharm and MBA Finance

- (Life science graduate degree preferred if no Pharmacy degree. If no life science degree, Graduate in Engineering can be considered)

Additional:

- Cross functional knowledge

- Exposure to pharma sector would be of advantage

RELEVANT EXPERIENCE:

- 10-12 years experience

- Exposure of working in M&A, Strategy, Business Development, etc in Pharma Industry
