Designation Head- Corporate Finance

Job Description :

Evaluate long- and short- term needs and raise an appropriate type of capital fitting those needs for the company. Strategic Role

Fund Raising :

- Support time- and cost-effective completion fund needs by planning and provisioning finance at optimal cost

- Plan for and implement plans for financing/refinancing/ restructuring of loans from FIs and banks

- Raise debt or equity or hybrid convertible funds factoring degree of success in achieving - hurdle rate- which have implications on cashflows, impact P&L and risk enterprise valuation

- Plan and drive transactions for raising capital to create, develop, grow or acquire businesses; allocate capital resources to increase value of company

- Lead the company to IPO as part in the near future

Operational Role:

Capital Budgeting:

- Plan and evaluate mode (equity or debt) to finance investment

- Participate in the financial evaluation of new projects/ businesses

- Build financial models for evaluation; perform IRR and NPV analysis, sensitivity analysis, scenario modelling for assessing the financial viability of company

Working Capital Management:

- Lead the end -to-end working capital and liquidity/ cash management related activities

- Manage cash and short-term borrowing and lending

- Monitor utilization and investment of funds

- Maintain relations with banking and investor community

- Participate in diligence studies for structured and regular (initial or annual) credit rating

- Manage Trade Finance related activities

M&A, JV activity:

- Conduct secondary research, company profiling, benchmarking and such for targeting M&A or JV prospects

- Perform asset or company valuation, portfolio valuation through DCF, NPC, SOTP, comparable company etc

- Perform valuation of intangible assets and analyze goodwill impairment

Tactical Role:

Relationship with Banking and Investor community

- Independently manage relationships with major Banks, Financial Institutions, investors, auditors and rating agencies in the country and internationally

- Coordination/Negotiation with Banks for Trade Finance related matters. Ensure the adherence to the requirements of Bank/RBI/FEMA Compliances

- Handle and build relationships with Rating agencies and lead the credit rating process

- Participate in diligence studies for structured and regular (initial or annual) credit rating

Forex Management & Hedging:

- Responsible for receipts & Payments related to Foreign Exchange.

- Hedging on the basis of well-informed and researched decisions.

- Ensure all compliances related to forex inward/ outward remittances are followed

Key Deliverables - Fund raise and Cost of funds;

- Valuation at SPV or at enterprise level

- Reducing the cash conversion cycle (days between cash payments to cash collections)

Desired Candidate Profile:

- Qualifies Chartered Accountant or MBA Finance from top B-Schools with 15-20 years of work experience in raising funds

- Should have been Head of Corporate Finance or a senior & capable No.2

- Hands-on and capable to manage independently

- Experience in the treasury, FOREX management, hedging

- Experience in (India or overseas) M&A, the formation of JVs, the formation of subsidiaries and such allied work

- Should have effectively managed relations with banks and financial institutions in ensuring availability of short- and long- term funds

- Should have managed investors and other critical stakeholders engaging with them in arriving at right investment decisions

Competencies Key Technical Competencies.

- Financial modelling;

- Well informed about contemporary methods of raising funds

- India- or overseas M&A/JVs

- Contract documentation involved during formation of JVs or subsidiaries (legal support would be available)

Key Behavioural Competencies.:

- Independent and hands-on

- Effective written and spoken communicator, with outstanding presentation skills

- Strong relationship orientation; negotiation to drive win-win outcomes
