Responsibility of overall Secretarial function of the BU This is an individual contributor role team support will be provided/available once business growth milestones are achieved Role Demands (travel) As and when required Education, Experience, Certification, Exposure, Stakeholder interfaces Essential - Min. 10+ years post CS qualification - Min. 3 years- experience in listed companies - Min. 5+ years of Work Experience in Telecom sector Desirable - Led and executed M&amp;A transactions - Should be registered with ICSI and have membership number; A legal degree will be an advantage Functional Requirement: Strategic- - Strong domain knowledge of regulatory environment of Telecom/Cable TV sector and applicable laws, to enable Strategic decision making - Keeping abreast of latest amendments to corporate and other laws. Analyze, interpret and evaluate the various corporate law requirements. - Recommending business structures to senior management to achieve efficiencies - Assist and advise the Board in ensuring good corporate governance and in complying with the corporate governance requirements and best practices Functional- - Preparation of Board Meeting Minutes, Annual General Meeting Minutes and EGM minutes and Compliance's under Companies Act, 2013 - Preparation of Annual Reports of group Companies, Annual Filing of Forms, Annual -Returns, and filing of other statutory forms. - Preserving and maintaining of all statutory records/ forms/documents and other relevant papers as required under Companies Act. - Ensuring compliance s for Equity issuance/Bank Debt (as need be) - Handling FEMA Compliance's and lead in corporate structuring - Providing all required information to the statutory auditors/ finance/legal /marketing/planning /services and other departments of the group to have the smooth function of the organization. - Evaluate transactions between associate and group companies in terms of compliance with corporate law requirements and assist in the documentation of these transactions. Operational - Understand and monitor the Company's operations, identify and interpret applicable laws and effect on statutory compliance. - Create SOPs, systems and processes to streamline the Secretarial function - Be extremely strong in written &amp; oral communication in English - Perform all incidental and ancillary functions to effect corporate law compliance's - Evaluate various kinds of compliance Risks and implement mitigation plans People - Develop relationship with stakeholders across internal eco-system - Liaison with Government organizations &amp; officers, functional partners etc.
