SKUAD, a global HR firm that helps companies build and manage their remote teams globally is hiring for the role of a Corporate secretary. Role : Group Corporate Secretary shall build and ensure the integrity of the governance framework. He/she will provide leadership in building and managing compliant global entities for skuad. This role is based out of Singapore. Responsibilities : - Building the company secretarial function internally and providing leadership thereafter - Supporting legal entity lifecycle management, governance, entity database management, corporate records maintenance and supporting strategic transactional work. - Managing the formation, registration, ongoing maintenance and disposition of new and existing legal entities - Performing corporate secretarial functions such as coordinating board meetings, drafting and reviewing by-laws, articles, operating agreements, partnership agreements, capitalization tables, stock registers/transfer documentation, minutes, resolutions across the group entities - Organizing and preparing agendas and papers for board meetings, committees and annual general meetings; taking minutes, lodging required forms, annual returns and other correspondence with Regional Company Registrars - Resolving issues with subject matter expertise in relevant laws, regulations, policies and guidelines. - Maintaining statutory registers or books including registers across various jurisdictions. - Liaising with teams and service providers in various jurisdictions for this purpose. - Conducting group secretarial audits across various jurisdictions - Providing transactional support for corporate transactions - Document Database management and ensuring data integrity. - Managing team members across countries. Desired Profile : - Extensive knowledge and proven experience in management of the Company Secretarial function for private limited companies in Singapore and across other countries - 12+ years of working with firms with significant legal entity governance, corporate transactional and regulatory structure reporting experience. - Ability to engage collaboratively with all stakeholders, influence key decision makers and manage change across the organization - Technical secretarial qualification (ICSA/ SAISCA or equivalent) - Strong understanding of equity investment operative documents - Experience with Global Entity Management System and related tools. - Excellent numerical, organizational, communication, IT and time management skills. - High standards of confidentiality, discretion and integrity.
