Senior Vice President/Vice President - Finance - M&A & IPO - CA (15-20 yrs)

Role : Sr.VP / VP - Finance (M&A & IPO) ( Services Industry)

Location - Delhi NCR

Purpose of the Job:

The SVP / VP of Finance will be responsible for leading the accounting, regulatory process for fundraising through IPO. Reporting directly to the CFO, this role will provide thought leadership and take complete accountability of the IPO process. This person should be able to work with multiple internal and external stakeholders. Manage the team while ensuring close Liasoning with regulators, stock exchanges, legal partners, and auditors.

Responsibility & Accountability :

Planning & Strategizing -

- Full ownership of the company's financial plan, financial metrics and financial modeling

- Leads the analysis and execution of the IPO process

- Monitoring the readiness of the company for IPO listing

- Prepare for company updates, investor updates, board updates & materials, MIS and Analysis

- Ensure timely and accurate financial reporting, including compliance with SEBI regulatory requirements

- Plan, strategize, monitor and execute for QIP/Bonus/Right Issue/Preferential Allotment.

- Prepare for quarterly compliances and regulatory requirements

Execution-

- Lead the execution of all initiatives related to the IPO Launch

- Liaison and Identification of with the right partners for the smooth launch of IPO.

- Prepare financial reporting systems, disclosure controls and procedures

- Define and implement internal controls

- Work with the partners and regulators to ensure the process of listing runs smoothly

- Oversee the preparation of the company's prospectus as per the SEBI guidelines

- Prepare and present company's story to investors emphasizing on the strengths of the company

- Suggest the offer price based on benchmarked data (price per share of stock).

- Take full accountability of the audit and process of scrutiny by authorities

On-going compliance, M&A, Announcements -

- Timely adherence to Quarterly compliances post IPO

- Prepare and file company's Balance Sheet along with statement of Profit and Loss Account and reports

- Ensure timely pay-outs of dividends and managing share option schemes

- Publishing financial results, upload records on company website and share details with trade team & investor to be effectively communicated to markets.

- Maintaining the register of shareholders and monitoring changes in share ownership of the company

- Monitoring changes in relevant legislation and the regulatory environment and taking appropriate action

- Play an active role in Mergers and Acquisition. Review financial data, perform financial analyses and reporting (e.g., profit & loss, balance sheet, cash flow etc.) to influence decisions within the business and to drive Mergers & Acquisitions

Qualification/ Education:

- Chartered Accountant with more than 15+ years of experience

- Must have the experience and knowledge of taking more than one companies to IPO
