Job Location: Lower Parel, Mumbai

[A] Support Head Legal - EMEU API and CGA ("Head Legal") in implementing the vision and strategy of the Legal Department to ensure adequate legal support is provided to the business and key stakeholders in the DTM Markets in EMEU, API Business and CGA Business ("Business") in a timely and professionally efficient manner

1. Build and cultivate key internal stakeholder relationships to understand Business needs and provide accurate, timely legal support

2. Assist Head Legal in planning and preparing the legal strategy for the Business taking into account inputs from internal stakeholders (Business Heads, Head Legal) and implementing the legal initiatives for the Business

3. Legal advisory to the in-house clients to provide support and draw expertise across a range of legal areas

4. Ensure that the Business practices and procedures are in line with and adhere to company policies, applicable statutory compliances, and laws of the land to prevent litigation and mitigate risks and damages

5. Identify and engage external regional law firms if needed, while providing the Cipla context and point of view, in consultation with Head Legal

6. Understand the business requirements, region-specific business priorities and ensure that legal assistance is provided in due time

7. Serve as legal counsel to Business Heads of DTM Markets, API, and CGA on all legal and regulatory issues (including corporate, commercial, and contracts law, HSE, licensing and regulatory, statutory compliance, foreign investment, labor/ employment, M&A, product liability, data privacy, anti-bribery, and anti-corruption, anti-trust, etc.)

8. Advise Business Heads on existing relationships with partners to facilitate decision making on renewing partnerships or changing partners

9. Draft communications on sensitive/contentious issues on behalf of the Business to ensure prudent communication.

10. Maintain comprehensive communication and training to all departments to ensure awareness of legal rights and obligations under the various laws and guidelines

11. Implement the legal record-keeping systems and processes for the Business

12. Advise management on latest amendments to legislation & other legal developments impacting Business with special reference to judgments given by Courts on the pharmaceutical industry, relevant industry laws, etc.

13. Lead, guide, and mentor the team to create an environment conducive to high performance

[B] Provide adequate support to the respective Team Leads and Businesses for all matters as applicable to the business to ensure adherence to specific state/country laws and regulations

1. Independently manage the legal aspects of applicable region/country-specific laws for the Business and stay abreast of legal developments across regions and advise the Business on the potential impact on Business

2. Develop and implement strong legal policies, procedures, and systems across Business Regions to provide legal services efficiently and ensure awareness of the legal implications of business decisions

3. Coordinate closely with the Legal centers of excellence such as Global Compliance, Global M&A, Global IP, Global Litigation, and other COES such as Taxation, HR, Corporate Communications, Quality, etc., to provide support for prospective transactions, conducting of due diligence, negotiation, and execution of all ancillary documents about transactions and to ensure that the business practices and procedures being followed are compliant with applicable laws & legislations

4. Prepare and provide observations to the Businesses regarding legal and commercial risks associated with transactions and their potential impact on business, suggest appropriate mitigating measures, and escalate legal and organizational risks to Head Legal

[C] Execute complete front-end transactional support for negotiations to ensure business continuity

1. Implement a contract management system with standardized contracts and ensure that standard templates are circulated and disseminated across businesses to simplify the contracting process for Business

2. Understand and structure commercial transactions to optimize Business revenue while minimizing any associated risk

3. Prepare contract documentation as applicable to a particular transaction and implement a structure that has been finalized post internal discussion with all relevant stakeholders

4. Prepare accurate interpretation of contract documents and provide observations to the Team Lead and/or Businesses as the case may be

5. Prepare justifications to complex inquiries regarding existing contract obligations and revisions, identify risks and issues, and suggest alternatives for it

6. Analyze corporate and commercial issues, ensure implementation of contracting procedures, legal processes, and risk management programs

7. Facilitate the timely signing of legal contracts with partners, by drafting, reviewing, and negotiating contracts and other legal documents to drive the achievement of revenue targets for the business ensuring favorable terms for the Company

8. Prepare or support in the preparation of relevant legal documents for regional activities of strategic importance (eg: JVs, acquisition of new devices, etc). in consultation with Head Legal-EMEU, API, CGA, and Legal CEOs.

9. Ensure related SLA's in place, adhered to, and refined

10. Implement the litigation strategy and necessary procedures and systems across all relevant businesses and functions

- Create a panel of attorneys/law firms across relevant geographies to ensure adequate representation for Cipla on all litigation and arbitration or quasi-judicial matters

- Provide end to end support in the resolution of claims and disputes before litigation

- Create case briefings for the external advocates and support them in finalizing the company's stand and arguments in court

- Assist the relevant teams in implementing a database/record management system for tracking litigation status and recording case briefs/ summaries

11. Support compliance-related activities as per relevant laws, regulations, and internal corporate policies, to enable businesses to achieve the defined targets by the relevant regulatory standards

1. Act as the Compliance Officer for the Business in various jurisdictions in the Region in the absence of Global Compliance designating compliance officers

2. Assist the Global Compliance Team in conducting periodic compliance assessments

3. Act as the flagbearer of Compliance for the Business in the Regions and ensure that Business practices and procedures are in line with and adhere to company policies, applicable statutory compliances, and laws of the land to prevent litigation and mitigate risks and damages.

4. Support Head Legal and the Global Compliance Team in the implementation of the global compliance and risk assessment framework for Cipla in the Business Regions

5. Assist the Global Compliance Team in conducting a periodic internal review of organizational processes, procedures, structures, products, etc. from a compliance perspective to identify areas of non-compliance

6. Provide required assistance to Head Legal and the Global Compliance Team to organize training programs for educating the cross-functional teams, zonal teams, and other stakeholders on the importance of Compliance and its implications

7. Assist the Global Compliance Team in implementing the compliance framework for marketing practices by local regulations in the Region.

8. Liaise with local government and regulatory agencies to implement a proactive compliance mechanism for the Business in the Region
