It is for a fast growing diversified group from Europe expanding footprint across Asia Pacific,US &amp; Europe largely inorganically in metal, Infra and other core manufacturing sectors . Role is for their Indian operations. The role will evolve for the new corporate organisation in India having multiple entities, however it would essentially involve following: - Statutory compliances with respect to the provisions of the Companies Act, Listing Agreement, and SEBI Regulations - Liasoning with Stock Exchanges and lawyers for amalgamation and demerger, including drafting of documentation for same; - Liasoning with Bankers, Institutions - Conducting Annual and Extra Ordinary General Meetings of the Listed entity - Filling up various event based compliance forms as required by the Companies Act on corporate actions - Incorporation of Companies and related work implementation of various Corporate Governance Policies in the Company. - Complying with voluntary delisting guidelines Candidate Profile Ideal person would be around 15 years secretarial experience with experience of working at Group level for handling the function for multiple entities. Experience in Listing &amp; Delisting is must.
