Position Title: Company Secretary

Reports To: Head LCS

- The company secretary has a key role to play in ensuring that board procedures are both followed and regularly reviewed. The chairman and the board will look to the company secretary for guidance on what their responsibilities are under the rules and regulations to which they are subject and on how these responsibilities should be discharged. All directors should have access to the advice and services of the company secretary and should recognize that the chairman is entitled to strong support from the company secretary in ensuring the effective functioning of the board.-

1. Incorporation of the wholly owned subsidiary as per the applicable law and to structure it in compliance with the Banking Regulation Act, 1949 and/or any RBI regulation as may be applicable.

2. Overall responsibility for developing and implementing processes to promote and sustain good corporate governance.

3. To ensure that the company complies with the applicable ICSI Secretarial standards. Ensure adequate processes and systems are in place to comply with the Secretarial standards.

4. Ensure compliance with all applicable corporate laws.

5. Liaise with various regulators and units in the Bank

Job Duties & Responsibilities (List the principal duties. Use concise statements that provide a clear understanding of the level of responsibility, complexity, creativity, and analysis performed in this position.)

- Maintain a register of all applicable laws relating to a company incorporated in India and ensure compliances thereof in coordination with other units and Head Office, as applicable. Ensure an efficient compliance reporting process to highlight all non compliances.

- Preparation, authorization, and filing of Annual returns within the statutory time limit.

- Arranging board/general meetings and preparing minutes thereof. Arranging meetings of the directors and the shareholders. This responsibility will involve the issue of proper notices of meetings, preparation of agenda, circulation of relevant papers and taking and producing minutes to record the business transacted at the meetings and the decisions taken. Advising directors on their duties, and ensuring that they comply with corporate legislation and the Articles of Association of the Company.

- Advising on good governance practices and compliance of Corporate Governance norms as prescribed under various Corporate, Securities and Other Business Laws and regulations and guidelines made thereunder.

- Maintenance of secretarial records, statutory books, and registers. Deciding on the company's policy for the filing and retention of documents. This includes maintenance of statutory records in electronic form.

- Advising on Corporate Structure of the organization.

- Advising the Bank on the changes in the applicable laws and regulations.

- Ensure full compliance with the Memorandum and Articles of Association of the Company

- Filing of forms/documents in electronic form with Registrar of Companies and other statutory authorities while ensuring overall compliance with Companies Act

- Define CSR Strategy and implement processes as may be required

- Represent on behalf of the Bank before National Company Law Tribunal, Competition Commission of India, Securities Appellate Tribunal, Registrar of Companies, Other quasi- judicial bodies, and Tribunals.

- Advising companies on Compliance of legal and procedural aspects, particularly under -

- SEBI Act, Securities Contract Regulation Act and rules, and regulations made thereunder

- Foreign Exchange Management Act

- Consumer Protection Act

- Environment and Pollution Control Laws

- Labour and Industrial Laws

- Mergers and Amalgamations and Strategic Alliances

- Foreign Collaborations and Joint Ventures

- Setting up subsidiaries

- Competition Policy and Anti Competitive Practices

- IPR Protection, Management, Valuation and Audit

Required Experience :

- Minimum 15 years Post Qualification Experience

- Have managed the Company Secretarial functions in a Bank

- Conversant with ICSI Secretarial standards

Education / Preferred Qualifications

- Mandatory: Member of the Institute of Company Secretaries of India

- LL.B

- CA
