Senior Manager - Secretarial - Construction Firm (10-15 yrs)
1. Should be very strong in Listing Regulations compliances, Corporate Governance compliance and other SEBI regulations including SEBI Insider Regulations/Takeover Regulations.
2. To ensure overall Secretarial and Corporate Law Compliances in respect of the Company and its overseas subsidiaries/JVs. Well conversant with compliances under the Companies Act & Rules;
3. Well conversant with work relating to Meetings of Board, its Committees and General Meeting of the Company. Should be handling Board meetings related work for very dynamic Board members.
4. Ability to handle independently pre-post meetings related to compliances, work relating to Annual Report, Dividends etc.
5. Well conversant with compliances under RBI Regulations/ FEMA Act w.r.t overseas subsidiaries/ Joint Venture Companies, filing with RBI under ODI guideline, Annual Performance Report etc.
6. To ensure extending timely Secretarial support function to Finance Team and other SBUs so as to enable them to avail timely disbursement of Working Capital, Term Loan and other credit facilities from various banks and institutions for the existing and expansion projects of the Company and its subsidiaries/JVs.
7. To ensure overall Compliance functions in the Company and its subsidiaries/ JVs.
8. Sound knowledge if handling Shareholders/ Investors Grievance.
9. Able to coordinate with Auditors, ROC, SEBI, Stock Exchange(s), R&T Agents, NSDL, CDSL and Bankers.
