Senior Manager/Manager - Legal - LLB/LLM - Fund Management Firm

Location: Mumbai

Our Client has an of rich experience in fund management expertise by consistently delivering value to its investors. They have a strong and proud lineage that traces back to a large Indian Bank along with a Joint Venture with one of the world's leading fund management companies.

Roles & Responsibilities

- Compliance Due diligence with SEBI AIF Regulations pertaining to the launch of new schemes and ongoing compliances, Takeover regulations, Companies Act, listing requirements and such other regulations as are required.

- Drafting and vetting of investment agreements pertaining to the AIF including joint venture agreements, Share subscription & purchase agreements etc,

- The role will also involve finalizing the Trust Deeds, Contribution Agreements, prospectus or PPM etc.

- Coordination and convening of Investment Committee and Advisory Committee meetings.

- Drafting, review and periodical update in the Risk Disclosure Documents

- Filing of returns with SEBI.

- Should be fully conversant with the provisions to be considered and decided for Performance Fee distribution (Carry).

- Formation and setting up of Employee Benefit Trust.

- Coordination with SEBI and to obtain SEBI & other approvals for other AIF funds which will be launched in future.

- Coordination on the structuring of securities in case of the unlisted asset including Real estate and Private equity.

Skill Set& Competencies

- He should have the breadth of knowledge which is highly professional in handling various legal requirements of a Mutual Fund products/ Agreements with distributors/vendors.

Qualifications & Experience

- The incumbent should be an LLB / LLM from reputed Law College

- 7 years to 10 years post qualifications experience in an Asset Management Company / Financial Services organization in the legal department
