Senior Manager - M&A - Manufacturing Firm

Acquisitions, Fundraise, Divestments- Execution and sourcing

- Work closely with CFO, Business Heads and Corporate teams to drive and execute M&A and fund raise transactions

- Track developments in the sector and sumarise key transactions parameters

- Work with business teams to identify potential deals

Due Diligence:

- Work with cross-functional teams on commercial, financial, leagal and other due diligence

- Co-ordinate with external consultants for timely and effective completon of due diligence

- Identify and summarise key issues for discussions

Prepare and analyze business case:

- Work with business teams to prepare business plans

- Identify key drivers/ KPI and undertake benchmarking

- Dynamic financial model preparation

Stakeholder Management:

- Relationship/stakeholder management with current and potential investors

- Work with various stakeholders for deal closing and follow on activities

- Co-ordination with external consultants and internal agencies

- Interact with Banker and Analyst community

Legal documentation:

- Work on legal agreements like Sharepurchase Agreement, Shareholder's Agreement etc

- Make sure commercial terms, findings from due diligence etc are appropriately documented

Approvals:

- Preparation of Board papers, notes and decks for corporate approvals

- Track regulatory and other approval requirements"

Project Management:

a) Manage transaction process end to end- prepare project timelines and track progress, send regular updates to management

b) Manage Post Merger Integration process "
