Senior Manager - Legal (Non - Litigation), Textile/ Retail/ FMCG

Looking out for candidates only from Retail/ FMCG company.

Job Description :

- Support the Legal Head in all non litigation legal matters of the organisation by scrutinizing & vetting documents like JV agreements, development agreements, agreement for sales, contracts document etc and ensure all legal terms & conditions as per company's requirement are incorporated to protect the company's interest and mitigate any risk which may arise from the same.

- Preliminary drafting of MOU / LOI, Agreements for Sale, Conveyance Deeds, Part Performance Agreements, Power of Attorney, documentation for contracts, non disclosure letters, confidentiality agreements, Affidavits, Undertakings, Board Resolutions etc. and other connected documents.

- Assist various departments on commercial & contracts management / legal compliance / various laws in force to assess risk regarding statutory and legal aspects and review compliance to mitigate risk and reduce legal cost while protecting the company's interest

- Assist in carrying out due diligence of existing documents like Sales deed, contracts & tender documents, non disclosure agreements, tri-partite agreements etc and provide legal support to ensure that the documents are legally correct and that the company's interests are protected.

- Assist in implementation of a framework to mitigate legal risk

- Provide legal support to other departments on the interpretation of statutes and legal documentations while entering into any contract, agreements, tie-ups, mergers etc to ensure that the actions being taken are legally sound and that the organisation's interest are safeguarded.

- Liaise with external solicitors representing clients, consultants, vendors etc for preliminary negotiation of contract terms and conditions, agreements, Sales deed, commercial leasings, etc as per Company's need and highlight critical deviations / clauses which may expose the company to risk and liabilities and seek Senior's advice for mitigating the same

Requirements :

- LLB/ LLM

- Experience in Non Litigation

- Experience in Drafting contracts, agreements, Commercial negotiations and vetting contracts

- Experience in Retail/FMCG industry

- Superior leadership ability

- Superior relationship building

- Presentation and public speaking

- Ability to analyse and think differently
