Senior Manager - Contract Management
PURPOSE OF THE ROLE :
- The selected candidates will work with Presales, Commercials, Product management and CLM team.
- Work on routine commercial contracts, renewals, disputes.
- Responsible for drafting and negotiating legal documentation with the support from Presales, Product and Legal team.
- Responsible for creating legal documentation, Service Schedules, Customer Order Form (COF) for multiple product and new product lined up for the IoT sales initiatives.
- Work with Product and Legal & Regulatory team to get necessary regulatory clearance for new product and services rolled out.
- Work on RFP and bid response preparation along with Presales team
KEY RESPONSIBILITIES :
- Provide day-to-day legal support on routine matters as part of the contract management team of IoT BU.
- Work closely and effectively with business teams and legal and regulatory team, and other user functions to provide them contract management support and own finalizing routine legal documents like, non-disclosure/ confidentiality agreements, engagement letters, novation agreements, extensions and renewals, name change, reorganization/ restructuring documents, amendments to contracts, etc..
- Work with legal and regulatory team for business in Indian and international countries. Ability to understand regulatory environment and accordingly work with product team to enable sales across globe.
- Provide support for the creation of legal documentation for the digital sales initiatives.
- Drafting of special terms and conditions of customer order forms, purchase orders, etc.
- Review tender documents and RFPs and provide back up support to the commercial/procurement legal teams.
- Coordinate with internal legal consultants/advocates/law firms on various legal matters.
- Own end-to-end contract management starting from RFP phase till the contract gets signed.
- Review and redline, draft Master Service Agreement, Schedules, SOWs and other contractual documents for IoT business units.
- Highlight the risks & obligations to key stakeholders and work towards mitigating risks. Seek appropriate approvals from senior management as per defined DLP.
- In Sales cycle, support the Sales team in negotiating the Terms & Conditions with the Customer.
- Participate in contract negotiation as and when required, Analyze complex situations and advice business teams on Customer opportunities & negotiation areas at the time of renewal.
- Improve Contract Management processes to drive efficiency.
- Create contract management reusable (guiding principles/ best practices/ checklists etc.) for sales and delivery teams.
- Perform research on contractual terms and conditions, other regulations, cloud and agile , Saas contracts
QUALIFICATIONS & EXPERIENCE :
- BE/LLB/MBA with around 7 to 12 years of experience in Bid-Contract management.
- Preferred Industry experience from Telecom, IT outsourcing
- Outstanding attention to detail, accuracy and ability to multitask.
- IACM certification preferred
- Having prior legal/ contracting experience in MNC, Service Industry.
- Having ability to work independently and manage multiple transactions and persons while using sound judgment, initiative, discretion and a proactive approach to work.
- Having understanding of IoT product line or IT outsourcing contract terms & principles and Global contracting.
- Having ability & willingness to read and understand elaborate & complex contracts.
- Detail oriented, flexible and able to respond to last minute changes in Contracts.
- Understands the basic concepts commercials, to perform risk management through balanced contract negotiation with the Customer and third-party vendors.
