Role:- Sr.Manager - Company Secretary (CS)

Location:- Lower Parel, Mumbai

Job Description:

- Arranging and conducting Annual General Meetings (AGM), Court Convened Meetings and Postal Ballots for Listed Companies and handling related matters, including preparing and dispatching Annual Report, Postal Ballot Notice, making arrangements for e-Voting, payment of Dividend, etc.

- Conducting meetings of the Board and its Committees and preparing and drafting agenda papers, Minutes and Resolutions (including Circular Resolutions) for the same.

- Amalgamation of Listed companies & incorporation of companies.

- Drafting and implementing various policies and codes under SEBI (LODR), PIT Regulations and Companies Act, 2013 (the Act).

- Routine quarterly filings, disclosures, compliances and event-based disclosures under the SEBI (LODR), SAST Regulations, SBEB Regulations and PIT Regulations.

- Ensuring compliance with the Act and Secretarial Standards, as amended from time to time.

- Implementing and overseeing operation of software-based compliance system under PIT Regulations.

- Developing and implementing checklists and SOPs for ensuring compliance with latest amendments in Corporate Laws and conducting knowledge sessions & providing updates on amendments.

- Monitoring and resolving investor grievances, handling compliances related to IEPF, including transfer of unclaimed Dividend and shares to IEPF and settling claims of shareholders for the same.

- Liaising with Stock Exchanges, ROC, Auditors and other stakeholders.

- Drafting applications, representations, letters and other correspondences to Stock Exchanges, Statutory/ Regulatory authorities and other stakeholders.
