Overview of Company

Overview of Role

The in-house counsel position is based in our Mumbai office. Primary responsibilities will be to work on a broad range of commercial, corporate and transactional legal matters and offer legal advice and guidance to senior management in India on a wide range of issues, including but not limited to corporate contracts, litigation and claims, corporate issues, business structures and models, M&A, property related issues, employment issues, and insurance and reinsurance regulatory issues

Principal Responsibilities & Accountabilities

- Provide analysis and counsel on a range of legal issues, including corporate issues, business structures and models, M&A, property related issues, employment issues, insurance and reinsurance

- Drafting and review of contracts and related documents for the procurement or provision of goods and services, confidentiality of proprietary information, employment, leases of space and equipment, and software licenses.

- Negotiate terms of contracts with internal and external stakeholders

- Analyse a broad range of complex laws and regulations affecting the operations of the Company including those arising from corporate structures and business models

- Represent the Company and/or senior executives and managers in legal proceedings and/or supervise such representation

- Engage outside counsel on complex legal issues, and supervise and coordinate all work sent to external law firms

- Develop a network of outside counsel to advise and represent the Company in consumer forums and other adjudicating forums

- Anticipate and identify legal issues of concern to the senior management team and develop legal strategies and solutions, often in situations of high risk with limited time for assessing alternatives.

- Identify and assess emerging changes in legislative & regulatory landscape impacting business and take corrective action including the creation of new processes and systems.

- Excellent drafting and effective negotiation skills.

- Practical lawyering sense, including the ability to balance risk considerations and commercial needs.

- Efficient, ability to prioritize workload and multi-task.

- Solid project management skills.

- Detail-oriented and able to function well independently, and as part of a team.

- Ability to interact and communicate effectively with all levels of staff, including senior management and external stakeholders

Qualifications & Experience

- Recognised legal qualification from reputed law school in India preferably NLU

- JD with a strong academic background.

- 7-10 years of in-house and/or large law firm experience in a transactional practice.

- Experience working in an MNC in India

- Knowledge of general corporate law and insurance law.

- Experience handling high volume of contract review, drafting and negotiation

- Experience handling employment and litigation matters

- Insurance industry experience preferred.
