Senior Manager/Associate Vice President - Legal - Estate Planning (7-10 yrs)

looking for a person in a legal role pertaining to the Estate Planning product.

1. To assist in drafting and reviewing of various commercial contracts such as investment agreements, shareholders agreement, share subscription agreement, non-disclosure agreements, lease agreements, sale deeds and other real estate matters, etc.;

2. To assist in structuring and drafting trust deed of private family trust/s;

3. Assist in review of offer documents (such as PPM, Contribution Agreement, Investment Manager Agreement, Trust Deed) and side letters for various AIF transactions;

4. To review the MoA, AOA of the Companies, LLP Agreements, Partnership Firms etc. and to advice on the regulatory compliances applicable to them;

5. Collaborating with various stakeholders, structuring and documentation at all stages of the transactions;

6. Identify and evaluate impact of ongoing regulatory changes related to SEBI, AIF, RBI, FEMA, Indian Trusts Act, Companies Act, LLP Act, Indian Trusts Act etc.;

7. To conduct legal due diligence on companies with respect to the various corporate transactions;

8. Providing legal advice to the business, support functions in connection with equity and equity/debt instruments, private equity transactions etc.;

9. To research and advice on various general legal, regulatory and other legal matters.

- A law graduate, with an experience of 7-12 years - particularly in corporate laws;

- Should possess sound knowledge of laws including Indian Trusts Act, SEBI, AIF, FEMA, Companies Act etc.

- Effectively handles multiple projects or tasks at the same time. Is open to and responds flexibly to change;

- Initiative and self-motivation;

- Excellent verbal and written communication skills.

- Strong Organizational Skills
