Senior General Manager - Legal (15-20 yrs)

Sr. GM Legal

Position Summary: Our client is a widely held company with a significant MNC investment and is one of the leading players in its industry. Sr. GM Legal is responsible for ensuring compliance with relevant laws and regulations, managing legal risks, and providing strategic legal advice to the executive team and the board of directors. You will lead a team of legal professionals and work closely with various departments to support the company's objectives while safeguarding its legal interests

Major Responsibilities:

Legal Strategy and Compliance:

- Develop and implement the company's legal strategy, ensuring alignment with business objectives and compliance with applicable laws, regulations, and industry standards.

- Monitor changes in laws and regulations affecting the company and proactively advise the management team on legal implications.

- Establish and maintain a robust compliance framework, including policies, procedures, and programs to ensure adherence to legal requirements.

Corporate Governance:

- Provide guidance and support to the board of directors on corporate governance matters, including board meetings, resolutions, and regulatory filings.

- Ensure compliance with corporate governance principles, guidelines, and best practices.

- Oversee the preparation and maintenance of corporate records, legal documents, and contracts.

Contract Management:

- Review, draft, negotiate, and advise on a wide range of contracts, agreements, and legal documents, including commercial contracts, vendor agreements, partnerships, and licensing agreements.

- Collaborate with internal stakeholders to identify legal risks and provide recommendations to mitigate them effectively.

Litigation and Dispute Resolution:

- Manage and oversee the company's legal disputes, including litigation, arbitration, and alternative dispute resolution processes.

- Work closely with external legal counsel when necessary, ensuring efficient and cost-effective representation.

- Provide guidance on settlement negotiations and risk assessments related to legal disputes.

Regulatory Compliance :

- Ensure compliance with regulatory requirements specific to the company's industry sector.

- Establish and maintain effective relationships with government authorities, industry associations, and relevant stakeholders.

- Represent the company in interactions with regulatory agencies, as required

Team Leadership and Collaboration:

- Lead and manage a team of legal professionals, providing guidance, mentoring, and professional development opportunities.

- Collaborate with internal departments, including finance, human resources, and operations, to address legal issues, support business initiatives, and mitigate risks effectively

Qualifications and Skills :

- Bachelor's degree in Law (LLB) from an Institution of repute.

- An additional Master's degree or specialization in a related field is a plus.

- Post-qualification experience of 15-20 years including a similar leadership role within a large and widely held company and a reputable law firm.

- In-depth knowledge of Indian corporate laws, regulatory frameworks, and commercial contracts.

- Strong understanding of corporate governance principles and practices.

- Excellent negotiation, analytical, and problem-solving skills.

- Ability to communicate complex legal concepts clearly and concisely to non-legal stakeholders.

- Proven experience in managing legal disputes and litigation processes.

- Sound understanding of intellectual property laws and related issues.

- Demonstrated leadership abilities, including team management and collaboration.

- Strong business acumen and ability to balance legal risks with commercial objectives.

- High ethical standards and the ability to handle confidential information with discretion.
