Education: - Minimum Qualification - C.S - Preferable Qualification - C.A + C.S or C.S + MBA (Finance) - Experience: Should possess a minimum of 20 years- post qualification experience. Skills: - Should be proficient in Companies Act, Direct & Indirect Taxes, FEMA and in dealing with related matters. - Should be well versed in Audits, Compliance, Long-Term Financial planning & structuring, Working Capital Management, Budget Preparation, Project - Accounting, MIS and Control feature. - Experienced in funding strategies. - Deal Structuring and Valuation methodologies. - Excellent communication (English and Malayalam) are a necessity. - Good interpersonal skills desired. - Sound knowledge of tools like Tally/ Excel and MS Office Job Purpose: To head and manage all financial/compliance activities of the Organization which shall include the Cochin Corporate Office, on-site locations/branch offices, factories or any other department of the Companies by planning, administering and controlling the financial performance of the organisation and ensuring compliance with the applicable laws in addition to implementing process improvements and obtaining and maintaining investor relations and partnership compliance. Key Responsibilities: - As part of an executive management team, the Financial Controller shall Provide leadership and direction to /and management of the Company secretarial and Finance & Accounting teams. - Manage the processes for Accounts finalization, financial forecasting, and budgets, and oversee the preparation of all financial reporting. - Preparation of long-term business and financial planning. - Establishing and developing relations with senior management and external partners and stakeholders. - Review of all formal finance related procedures and take corrective measures where necessary. Duties & Responsibilities: Company Secretarial: - Shall oversee compliance and company secretarial functions of The Organization in line with Companies Act. Shall ensure that the monthly compliance calendar is being adhered to by the team. - Shall conduct Board meetings and ensure preparation and circulation of minutes and filings to respective authorities. - Shall advise the Board on good corporate governance and in complying with the corporate governance requirements and best practices. Shall also provide regular updates on changes /new rules in compliance. - Shall oversee Incorporation of Company (SPVs), Change of Object Clause, Change of name, conversion, change of situation of registered office of the Company and maintenance of Statutory Registers, filling of various documents/returns as required under the provisions of the Companies Law. - To carry out all matters concerned with the allotment of shares, and issuance of share certificates including maintenance of statutory Share Register and conducting the appropriate activities connected with share transfers. - To liaise with the office of the Registrar of Companies Regional Director, Banks, statutory auditors, other governmental and non-governmental agencies as required. - Compliance under the Foreign Exchange Management Act on FDI matter and Liaising with Reserve Bank of India. Financial: - To monitor the overall compliance and financial health of the assigned verticals. - To conduct in-depth study of new businesses and determine their financial viability. Shall hold the prime responsibility of the financial plan and financial management of the projects undertaken. - To establish the source of funding to finance the new business opportunity and ascertain the ability to service the loan. Shall liaise and negotiate with banks and financial institutions for raising funds to meet working capital requirements on the best terms and draw a contingency plan in the event of delay in completion, etc. - Identification, analysis, and management of risks and advising the top management on the same. Utilizing costing data and information for decision-making purposes and utilizing cash flow and fund flow statements as essential planning and control devices. - To prepare a detailed budget before commencement of the financial year in consultation with all stakeholders and circulate to the Board Members for final approval and ensure that the financial commitment is in line with the approved budget. - To monitor every line item of the budget and check for compliance and variations. Any variation from the approved budget should be reported to the Board of Directors and approval sought for such variation and suitable revision. - Shall be responsible for Accounts finalization, cash flow management (monthly and yearly), internal and external audits. - To ensure that all required statutory compliances of Direct & Indirect taxes are adhered to as per applicable laws.
