Senior Executive/Assistant Manager - Compliance

Job Description:

Job Responsibilities:

- Responsible for Drafting and vetting various legal documents

- Coordinate with Legal Counsel to finalize documents and agreements related to debenture/bond issuance

- Ensure compliance with all regulations and directions of SEBI and other regulatory authorities, as well as provisions of the Companies Act 2013, pertaining to debenture/bond issues

- Guide the issuer company regarding compliance procedures, stamp duty implications, security creation, SEBI regulations, and Companies Act in relation to debenture/bond issuance

- Ensure the creation and perfection of stipulated security as outlined in the Information Memorandum/Prospectus, debenture documentation, etc., and file charges with RoC / CERSAI

- Monitor timely payment of interest and principal amounts (redemption) to debenture / bond holders by the issuer company

- Monitor the obligations imposed by credit rating agencies and other authorities on the issuer company

- Monitor various ratios, DRR, Debt Service Coverage Ratio (DSCR), rating, and financial condition of the issuer company on a quarterly, half-yearly, and yearly basis

- Responsible for continuously monitoring structured payment obligations

- Should monitor and handle escrow mechanisms and structured deals

- Monitor collateral security ratio with reference to pledged securities

Job Requirements:

- Education: LLB / LLM from a recognized university

- Minimum of 4 - 6 years PQE with Banks / NBFCs / Financial Institutions/Security Trustee Companies / Law Firms

- Must have hands-on experience in drafting/settling financial and security documentation, handling debenture issues for banks/NBFC

- In-depth knowledge of banking law & practice, corporate laws (including but limited to Companies Act, Contract Act, Transfer of Property Act, Stamp Act, Registration Act, etc.) SEBI Regulations, Insolvency & Bankruptcy Code & NCLT procedures, RDB and SARFAESI Acts, Trustee Business, etc

- Excellent communication, interpersonal, and negotiation skills

- Proficiency in MS Office

- Capacity to achieve business targets of the group

- Business Development Skills, Positive Attitude/Approach, etc
