Job Description 


- The Candidate will be responsible to manage the entire gamut company secretarial matters.


- The Candidate will also be responsible for advising business verticals and functions on legal and regulatory issues.


Client Details

It is a leading solar power producer in India. It has developed India's first private utility scale solar project and has been at the forefront in the sector as a developer, constructor and operator of utility scale, micro-grid and rooftop solar projects.

Description

The candidate is responsible for the secretarial & legal functions listed below:

Secretarial Function:

- Strong knowledge of various Commercial laws, Labor laws and General laws, specifically Companies Act and compliances thereon.


- Organize and prepare agendas and papers for board meetings, committees and annual general meetings (AGMs). Take minutes, draft resolutions, and lodge required forms and annual returns with MCA. Follow up on actions from meetings. All filings with the MCA to ensure that timely compliance as per law are carried out.

- Responsible for secretarial audit as may be required for group companies and demonstrate compliance with laws and regulations including record keeping


- Compliance with the applicable secretarial standards as laid by the ICSI. Oversee policies, making sure they are kept up to date and referred to the appropriate committee for approval. Maintain statutory books, including registers of members, directors and secretaries. Deal with correspondence, collate information and write reports, ensuring decisions made are communicated to the relevant company stakeholders. Contribute to meeting discussions as and when required, and advise members of the legal, governance, accounting and tax departments of the implications of proposed policies.


- Monitor changes in relevant legislation and the regulatory environment and take appropriate action. Liaise with external regulators and advisers, such as lawyers and auditors. Monitoring to ensure that the company complies with all applicable laws, rules and regulations in addition to its legal and statutory requirements. Plan and pay dividends in compliance with the laws companies act, corporate tax laws etc.


- Take a role in restructuring, mergers of companies. Maintain the register of shareholders. Drafting, vetting, approving, negotiating and settling all types of agreements including Acquisition Agreements, Funding Agreements, Leasing, Marketing, Operations, Service and Leave & License Agreements, Franchise Agreements, Business Conducting Agreements, Renewal Agreements, Cancellation Deeds, Rectification Deeds, Supplemental Agreements, etc.


- Co-ordination with retailers and other service providers for entire documentation work and keeping records of all documents. Assisting the Head Legal on the Company Secretary matters for the Company. Handling Statutory Compliance, Corporate Governance, due diligence matters. Representing in the court of law and coordinating with the management, if so required. Spearheading the installation of Compliance Software. Assisting internal and statutory auditors


- Performing the overall Secretarial functions and Corporate Affairs, ensuring compliance to Companies Act and various other Statutory Acts.


Legal:

- Advising various business verticals and functions on legal and regulatory issues, Interpretation of laws and regulations and advising on their applicability, Strategizing and formulating litigation strategy in line with commercial objectives of the Company, Handle court cases independently, as and when required, Draft and vetting court pleadings, legal notices, responses to legal notices etc. and briefing outside counsels and law firms.

Profile

The candidate should be

- LLB + qualified CS with 10-15 years of PQE.


- Excellent command over all aspects of legal and Company Secretary matters.

- Command over all aspects of legal matters related to real estate in particular drafting agreements & in non-litigation legal matters.


- Well acquainted with Real Estate laws, Companies Act, SEBI guidelines and all other Central &State laws and regulations.


- Must be familiar with all practices and procedures pertaining to acquisition, mortgage, funding, purchases, sales, lease/license, franchise, conducting, operations, management, ownership documentation, stamp duty / registration, municipal/development rules & regulations, contracts, labour, fiscal/taxation for IT / SEZ etc.


- Excellent communication, drafting and negotiation skills. Languages English proficiency.


- Knowledge of MS Office including proficiency in MS Word.
