We are looking out for a Tier 2 law firm - Senior Associate / Principal Associate - Transaction Advisory (M&A/PE/VC) - Bangalore Qualification: LLB Experience: 5 to 8 years Designation: Senior Associate / Principal Associate Function - Legal Service Line: General Corporate Small Brief - General Corporate - Drafting, reviewing and negotiating various transaction documents such as share purchase agreements, share subscription agreements, shareholders- agreements, investment agreements, etc - Working on transactions - General Corporate Practice or Private Equity or M&A or Cross border or divestiture, JV etc. - Assists in researching, analyzing and preparing first drafts - Conducting legal due diligence of target companies - Issue opinions on queries raised under the Companies Act, 2013, - Provide support on the day to day client queries relating to the general corporate laws - Drafting and assisting in negotiating various commercial agreements such as service agreements, leave and license agreements, employment agreements, non disclosure agreement, contracts etc. - Drafting Term Sheets, Contracts, Shareholders Agreements, Share Purchase Agreements, Articles of Association, Memorandum of Association. Desired - - Understands various client requirements - Ability to interact with clients on work and socially - Team Player - Good Communication Skills - Excellent Legal & Analytical skills - Should be responsive & should pay attention to details - Should be able to take ownership of work
