SAVE has setup two NBFCs predominantly focused on microfinance and secured individual lending.  The company is looking to onboard Company Secretary and the Job description would be as under :  Designation : Company Secretary  Reporting to : Board of Directors  Location : New Delhi  No. of Positions : 1 (One)  Experience Required : 5+ years  Education : CS  Remuneration : As per industry Standard  1. Oversee polices, making sure they are kept up to date and refereed to the appropriate committee for approval.  2. Maintain statutory books, including registers of members, directors and secretaries.  3. Deal with correspondence, collate information and write reports ensuring decisions made are communicated to the relevant company stakeholders.  4. Contribute to meeting discussions as and when required and advise members of the legal, governance, accounting and tax departments of the implications of proposed policies.  5. Providing support to committees and working parties such as the board of Directors etc.  6. Implementing procedural/administrative systems.  7. Handling correspondence before and after meetings.  8. Ensuring police are kept current, are approved, and that company members are aware of their implications, eg legal.  9. Keeping or arranging minutes of directors' meetings. Apart from monitoring the Directors and Members minutes books, copies of the minutes of board meetings should also be provided to every director.  10. Ensuring that people entitled to do so, can inspect company are entitled to a copy of the company's register of members, and to inspect the minutes of its general meetings and to have copies of these minutes.  11. Custody and use of the common seal. Companies are required to have a common seal and the secretary is usually responsible for its custody and use.  12. Legal vetting of the agreements and other contracts at organization level.  13.
