JOB DESCRIPTION : Independent Director

Required Skills :

- Looking for a technology leader with 17+ Years of diverse work experience with leading organizations across sectors and functions in Technology domain.

- Having Performed demonstrated results in the following competencies ; Technology Operations, Technology Consulting, Cyber Security, Compliance, Data Protection and Data Governance

- Strong department leader with skills in strategic planning, goal setting, processes development, budgeting, and creating opportunities for professional development within technology teams.

- Strong exposure in overseeing the data, security, maintenance, and network by managing the overall technology roadmap of the business.

- Devising and establishing IT policies and systems to support the implementation of strategies and analysing the business requirements of all departments to determine their technology needs.

- Solid understanding of broad technology trends and the ability to align innovation with business goals.

- Lead the strategy for technology platforms, partnerships and external relationships by keeping abreast of new trends and best practices in the technology landscape.

- Key personnel in decisions with regard to the technological interests of a company to ensure that technological resources meet the company's short and long-term needs.

- Overseeing all technology operations and evaluating them according to established goals with a view on annual IT budget by ensuring cost-effectiveness.

- The Independent Director will be part of the following Board Committees ; Member of Nomination and Remuneration Committee.

DUTIES & RESPONSIBILITIES :

- Act as Trusted strategic advisor by executing tech strategies by building strategic partnerships.

- Aid in bringing an independent judgment to bear on the Boards deliberations particularly on issues of strategy, performance, risk management, resources, key appointments and standards of conduct.

- Enable an objective view in the evaluation of the performance related to board and management.

- Examine the performance of management in meeting the decided goals and objectives and examine the reporting of performance.

- Balance the conflict of interest of the stakeholders.

- Seek appropriate clarification or amplification of information and, where necessary.

- Strive to attend all meetings of the Board of Directors and of the Board committees in which they are a member.

- Participate constructively and actively in the committees of the Board in which they are chairpersons or members.

- Keep themselves well informed about the Company and the external environment in which it operates.

- Pay sufficient attention and ensure that adequate deliberations are held before approving related party transactions and assure themselves that the same are in the interest of the Company.

- Report concerns about unethical behaviour, actual or suspected fraud or violation of the Companys code of conduct or ethics policy.

- Acting within his authority, assist in protecting the legitimate interests of the Company, shareholders and its employees.

- Not disclose confidential information, including commercial secrets, technologies, advertising and sales promotion plans, unpublished price sensitive information, unless such disclosure is expressly approved by the Board or required by law
