Role - Manager / Sr. Manager - Company Secretary


- Assisting in drafting, reviewing and compliance related to Board Meetings, Committee Meetings and Annual General Meetings, viz. Agenda, Minutes, Notices, Resolutions, etc. of group entities;

- Co-ordination with various internal, external departments for data/ information required;

- Maintain and update Statutory Registers from time to time under the Companies Act, 2013;

- Assisting in drafting of Policies, updates, Annual Report, agreements and other documents and relevant co-ordination;

- Working on issuance of securities/ debt securities,

- Conducting due diligence in relation acquisition of new companies/ projects;

- Reviewing of various statutory policies and ensuring their implementation

- Monitoring the updates of MCA / SEBI / RBI and other relevant regulatory authorities and circulate the same internally

- Work on CSR compliances, Risk Management function of the Company

- Liaison with ROC, SEBI, Stock Exchanges, Registrar & Transfer Agent, RBI and other authorities;

- Coordination with Secretarial Auditors, Statutory Auditors;

- Ensuring Company Secretarial Compliances including SEBI, Companies Act, 2013, Secretarial Standards and such other compliances as may be applicable to the Company from time to time;

- Good verbal and written communication skills

- Excellent organization and time management

- Self Motivated and ownership of tasks assigned

- Excellent Command over MS Office Softwares - Word, Excel PowerPoint

- A flexible and practical approach to work

- Discretion when handling confidential information

- Should understand basics of legal and compliances

- Should have an excellent understanding of Indian Corporate Laws

- Should have all that it takes to succeed in a startup environment flexibility, ability to multi-task and deliver under pressure, and a high level of ownership

Experience & Qualification :

- CS & LLB with minimum of 5-8 years of relevant experience in a Listed Company

- Ability to independently handle the Compliance Requirements under Companies Act & SEBI Regulations

- Excellent Academic records
