About:

Ev2 Ventures is a Smart Mobility Micro VC, that is investing for impact at venture scale across key mobility segments: Electric Vehicles, Logistics Technology, Micro-mobility, Agri Supply Chain etc. The fund is investing US$300-500k across Early to Pre-Series A startups across the Indian EV & Transportation ecosystem. The Fund has already invested in 4 companies is looking to make multiple more investments over the next year.

Role Purpose:

- We are looking for a self-driven and self-motivated person to support the team end to end during the investment and fund-raising process with a passion to deep dive, build relationships, prepare proposals, as well as assist in legal compliance for the fund and portfolio companies.

- Competitive compensation structure ; The position is based out of Gurgaon and any outstation candidate should be willing to move base to Gurgaon

Primary Responsibilities:

- Providing business oriented legal support for investments, fundraising, corporate restructuring and M&A

- Guiding and reviewing regulatory and statutory compliances for the fund and portfolio companies

- Structuring, drafting and negotiating multiple varieties of share subscription agreement, shareholders- agreement, share purchase agreement and founders agreement.

- Coordinating with investors and outside counsel for various legal purposes including transactions

- Conduct extensive research on fundraising opportunities & potential investors supporting the partners and internal stakeholders who front end the fund raising activity

- Connect with VCs and potential investors along with building strong relationships with the VC ecosystem as well as maintaining cordial and healthy relationships with LPs, Investors, institutions, HNIs etc

- Writing, submitting, and uploading press releases as required.

- Writing funding proposals and submitting these to potential investors.

- Negotiate fundraising term-sheets, financial agreements and subscription agreements

- Implementing a variety of marketing strategies and promotional campaigns

- Organizing and attending events and networking with relevant stakeholders. Establishing good relationships with staff, members of the public, and media

- Any other potential related work

Qualifications Required:

- LL.B. / LL.M from a recognized university in India

- In-depth legal knowledge in corporate, business, and securities laws, foreign exchange regulations, IP.

- Ability to understand investments, complex corporate structures and coming up with solution based advice. Excellent drafting, negotiation, communication and presentation skills

- Ability to work effectively in situations involving uncertainty or lack of information.

- Flexible to handle multiple tasks ranging from fundraising process to legal support

- Candidate should be well versed with terminologies in the startup ecosystem

- Prior experience in structuring and closing transactions along with maintaining investor relations

- Business/commercial acumen required

- Writes, speaks and presents information effectively, clearly and with brevity. Communicates to improve understanding, decision-making and performance.
