- We are seeking an experienced and results-driven Mergers & Acquisitions (M&A) and IPO Consultant to join our business consulting team.

- This role will focus on providing strategic advice and execution support for clients involved in M&A transactions and Initial Public Offerings (IPOs).

- The ideal candidate will possess strong business acumen, a deep understanding of the M&A and IPO processes, and a proven track record in guiding companies through these complex transactions.

- You will work directly with senior executives, board members, and key stakeholders to ensure successful outcomes.

Key Responsibilities:.

Mergers & Acquisitions:.

- Client Advisory: Advise clients on M&A strategies, identifying opportunities for growth, cost optimization, and market expansion.

- Due Diligence: Oversee and manage the due diligence process for M&A transactions, assessing financial, operational, and strategic risks and opportunities.

- Deal Structuring & Negotiation: Work with clients to structure, negotiate, and execute M&A deals, ensuring alignment with corporate objectives and risk management considerations.

- Valuation & Financial Modelling: Develop comprehensive financial models and valuations, using techniques such as discounted cash flow (DCF), precedent transactions, and comparable company analysis to support M&A decision-making.

- Integration Strategy: Assist clients in creating post-merger integration strategies, focusing on operational synergies, cultural alignment, and technology integration.

- Market Intelligence: Provide clients with market intelligence on potential acquisition targets or buyers, including competitive analysis and industry trends.

- Stakeholder Management: Collaborate with legal, financial, and operational teams to ensure the smooth execution of M&A transactions, addressing stakeholder concerns and managing expectations.

Initial Public Offering (IPO):.

- IPO Strategy Development: Guide clients in preparing for an IPO, including the assessment of market conditions, timing, and the structuring of the offering.

- Regulatory Compliance & Filing: Advise on the legal and regulatory requirements for an IPO, including drafting and reviewing the prospectus, filing with regulatory authorities (e. , SEC or local authorities), and ensuring compliance with listing rules.

- Financial Reporting & Audit Preparation: Assist clients in preparing financial statements, audit reports, and other essential documents required for the IPO process.

- Investor Relations Strategy: Help clients develop a strong investor relations strategy, including the preparation for investor roadshows, targeting institutional investors, and managing public communications.

- Valuation & Pricing: Support clients in determining the fair market value of their company and help set the IPO price based on market conditions, financial projections, and competitive benchmarking.

- Post-IPO Transition: Provide advisory services post-IPO, helping clients manage the transition to being a publicly traded company, including corporate governance, regulatory compliance, and investor communications.

Qualifications - CA/CFA/MBA in finance.
