Our experienced team of analysts identifies such opportunities in India. We are currently looking for a lawyer, work profile includes the following: 1. Drafting, vetting and executing transaction documents, namely share purchase agreement / share transfer agreement, term sheet, MOU for and between investors, investee companies and promoters. 2. Closed deals through Mergers &amp; Acquisitions including cross border swap of shares, private equity and VCF investments, Joint Ventures and exits. 3. Structuring and regulatory advisory to buy and sell sides. 4. Review and negotiation of definitive agreements (including term sheets, master transaction/framework agreement, employments agreements, Share Subscription Agreement (SSA), Share Purchase Agreements (SPA) and Share Holders Agreements (SHA)) 5. Proposing, drafting of guidance documents, legal opinions on Private Equity transaction, issue of securities, and other related matters with respect to listed companies; 6. Compliances under all SEBI regulations; 7. Analysis of laws in various international jurisdictions and including aspects of investment by FPIs, Exchanges, RBI and other relevant laws; 8. Drafting and filing of Suits, Arbitration Petitions &amp; Arbitration Appeals&nbsp; and when required. 9. Appearing and representing before market regulator Securities and Exchange Board of India (SEBI), Securities Appellate Tribunal, High Court, Tribunals, Consumer Forum, and Small Causes court on civil and criminal matters. 10. Ensuring compliance for the transaction under: - SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011 - SEBI (LODR) Regulations, 2015 - SEBI ( Prohibition of Insider Trading) Regulations, 2015 - SEBI (Foreign Portfolio Investors) Regulations, 2014 - Stock exchange's listing requirements; and Companies Act, 2013. 11. Overseeing transactions process including, board meetings of the investee, their disclosures, and their intimations to the stock exchanges. 12. Managing end to end legal and compliance affairs of the company's private equity transactions and infrastructure transactions in India for investors in India and abroad; 13. Appointing and overseeing custodial services, banking transactions of investors and escrow account for facilitating transaction; 14. Replying to legal queries / legal opinion related to the transactions with investors, facilitators, investment bankers, issuers etc. 15. Interaction with regulators authorities such as SEBI, Stock Exchanges, RBI, and any other relevant authority. 16. Preparing legal opinion in relation to SEBI regulations (Like ICDR, Takeover code and Listing Regulations) 17. Overseeing and advising filing compliances and handling of transaction by the investee company for the benefit of Investors. 18. Updating the company on latest guidelines from SEBI, Stock Exchanges, RBI and related statutory bodies for matters concerning to private equity transactions. 19.
