India Resurgence Fund (IndiaRF) is a joint venture between the Piramal Enterprises Limited, a conglomerate with business interests in healthcare, real estate and financial services, and Bain Capital Credit - a leading global asset manager with over $37bn in assets under management. IndiaRF intends to participate in the distressed assets market through investments in all parts of the capital structure. IndiaRF will use multiple investment vehicles including an alternate investment fund and an asset reconstruction company in connection with its investments, and will also co-invest with its joint venture partners. We are looking for compliance professionals for this entity. The professional will be responsible for oversee all compliance aspects of IndiaRF. General requirements - Qualified Company Secretary - Law degree(s) from a reputed institution (preferred but not compulsory); - Strong technical skills including of SEBI, FEMA, Companies Act, RBI, SEC regulations; - Desire to excel, to constantly learn and to work in an evolving regulatory environment; - Self-starter comfortable working in small teams; - Excellent interpersonal skills and ability to work in teams; - Excellent articulation and communication skills; - Excellent writing and drafting skills; - Understanding of the compliance requirements in the context of listed companies. Job Description and Responsibilities - Handling compliance matters for IndiaRF and its investment vehicles including AIF, ARC etc and including interfacing with MCA, SEBI, RBI, SEC and other regulatory authorities, periodic filings; - Overseeing compliance in relation to IRF's overseas structures; - Supporting periodic compliance/ regulatory audits on IndiaRF entities - Overseeing compliance in relation to IndiaRFs investment including under FEMA and other laws; - Supporting transaction closings including investments, exits, transactions at investee companies; - Interfacing between joint venture partners in relation to compliance and secretarial issues including recording minutes of Board, Investment Committee etc; - Supporting investor relations and investor compliance requirements; - Reviewing corporate governance and compliance audits of IndiaRF portfolio companies; - Fund documentation including investor agreements, NDAs and other business agreements; - Providing litigation support from time to time.
