Job Description: - Drafting and Implementation of Policies and Codes applicable to NBFCs. - NBFC financial compliances and establishment of norms - Financial reporting and measurement of the balance sheet, PnL as per NBFC standards - The handling process and documentation for the lending business of NBFC. - Handling regulatory communication, queries and inspections conducted by RBI. - Conducting of Board, Committee and General Meetings. - Drafting of Notice, Agenda and Minutes for the Meetings. - Liasioning with regulatory agencies viz. SEBI, RBI, ROC and Stock Exchanges - Compliance with the RBI - Ensure overall compliance with Companies Act, 2013, Rules thereunder, Secretarial Standards and Articles of Association, as applicable. - Convene Meetings of Board of Directors, Committees of Directors and Shareholders (AGM/EGM) - Prepare notices, draft agenda and notes, coordinate with different departments, draft minutes. - Ensure timely Regulatory and Statutory filings with Registrar of Companies (ROC) and other authorities. - Keep abreast and disseminate updates concerning regulatory developments pertaining to Companies Act and Secretarial Standards. - Custodian of company's statutory registers, minutes books and other important records maintained under Companies Act 2013 or Articles of Association. - Assist with coordinating Regulatory inspection, Statutory Audit and Internal Audit. - Handling entire gamut of RBI compliances; handling inspection by regulators. What do we look for? - Completed CA + CS - Atleast 5 years in Regulatory Compliances of NBFC - Experience of handling regulatory audit of NBFC conducted by RBI - Well versed with RBI rules, regulations &amp; guidelines and related Compliance requirement - Expertise knowledge of various returns, reporting to RBI, vetting and finalization of the same - Formalization and review of Policies - Prior experience of setting up internal controls and process for NBFC
